Additional Research Program. UHN, under the direction of the Principal Investigators, will undertake the Additional Research Program in accordance with the procedures, specifications and timelines described out in Schedule A attached hereto and this Agreement. The Parties acknowledge that the Additional Research Program will be carried out in vitro utilizing human biological material and that no in vivo studies will be undertaken. UHN shall ensure that its employees who perform UHN’s obligations under the Additional Research Program are appropriately trained and qualified to perform the obligations in accordance with the terms of this Agreement.

Additional Research Program. Unless and until Jazz designates an Additional Collaboration Target pursuant to clause (a) of Section 2.5.1, Jazz has the one-time right to initiate a [***] Research Program for any [***] Initial Collaboration Target. If Jazz does so, the Parties will agree in good faith upon a Work Plan for such new Research Program, and such new Research Program shall be a Research Program for all purposes hereunder.

Additional Research Program. 2.1. The Company hereby retains Yissum to obtain the performance of additional research in accordance with the Additional Research Program set forth in Appendix A to this First Amendment. 2.2. The Company shall finance performance of the Additional Research Program in accordance with the budget set forth in Appendix A (the “Additional Research Budget”) or any amendments thereof as may be agreed upon by the Company and Yissum. Such financing (the “Additional Research Fee”), subject to any earlier termination of the Additional Research Program pursuant to Section 2.3 of the Vaccine Agreement, shall be payable in accordance with the payment schedule set forth in Appendix B. 2.3.
