Additional Rights of Agent. (a) The Agent shall be entitled to all of the rights, protections, immunities and indemnities of the Trustee set forth in the Indenture. (b) Neither the Agent, nor any of its respective officers, directors, employees, agents or counsel shall be liable for any action lawfully taken or omitted to be taken by it or them hereunder or in connection herewith, except for actions taken or omitted to be taken as a result of its or their own gross negligence or wilful misconduct as finally determined by a court of competent jurisdiction.
