ADDITIONAL USER SUBSCRIPTIONS. 3.1 Subject to 3.2 and 3.3, the Customer may, from time to time during any Subscription Term, purchase additional User Subscriptions in excess of the number set out in 1 of Schedule 1 and the Supplier shall grant access to the Services and the Documentation to such additional Authorised Users in accordance with the provisions of this agreement. 3.2 If the Customer wishes to purchase additional User Subscriptions, the Customer shall notify the Supplier in writing. The Supplier shall evaluate such request for additional User Subscriptions and respond to the Customer with approval or rejection of the request (such approval not to be unreasonably withheld). Where the Supplier approves the request, the Supplier shall activate the additional User Subscriptions within 5 days of its approval of the Customer's request. 3.3 If the Supplier approves the Customer's request to purchase additional User Subscriptions, the Customer shall, within 30 days of the date of the Supplier's invoice, pay to the Supplier the relevant fees for such additional User Subscriptions as set out in 2 of Schedule 1 and, if such additional User Subscriptions are purchased by the Customer part way through the Initial Subscription Term or any Renewal Period (as applicable), such fees shall be pro-rated from the date of activation by the Supplier for the remainder of the Initial Subscription Term or then current Renewal Period (as applicable).

Where the Supplier approves the request, the Supplier shall activate the additional User Subscriptions within 5 [NUMBER] days of its approval of the Customer's ’s request. 3.3 3.3. If the Supplier approves the Customer's request to purchase additional User Subscriptions, the Customer shall, within 30 thirty (30) days of the date of the Supplier's invoice, pay to the Supplier the relevant fees for such additional User Subscriptions as set out in 2 of Schedule 1 and, if such additional User Subscriptions are purchased by the Customer part way through the Initial Subscription Term or any Renewal Period (as applicable), such fees shall be pro-rated from the date of activation by the Supplier for the remainder of the Initial Subscription Term or then current Renewal Period (as applicable).

Where the Supplier approves the request, the Supplier shall activate the additional User Subscriptions within 5 days of its approval of the Customer's request. 3.3 If the Supplier approves the Customer's ’s request to purchase additional User Subscriptions, the Customer shall, within 30 days of the date of the Supplier's ’s invoice, pay to the Supplier the relevant fees for such additional User Subscriptions as set out in paragraph 2 of Schedule 1 and, if such additional User Subscriptions are purchased by the Customer part way through the Initial Subscription Term or any Renewal Period (as applicable), such fees shall be pro-rated from the date of activation by the Supplier for the remainder of the Initial Subscription Term or then current Renewal Period (as applicable).

Where the Supplier approves the request, the Supplier shall activate the additional User Subscriptions within 5 days of its approval of the Customer's request]. 3.3 If the Supplier approves the Customer's request to purchase additional User Subscriptions, the Customer shall, within 30 days of the date of the Supplier's invoice, pay to the Supplier the relevant fees for such additional User Subscriptions as set out in 2 of Schedule 1 and, if such additional User Subscriptions are purchased by the Customer part way through the Initial Subscription Term or any Renewal Period (as applicable), such fees shall be pro-rated from the date of activation by the Supplier for the remainder of the Initial Subscription Term or then current Renewal Period (as applicable).

ADDITIONAL USER SUBSCRIPTIONS. 3.1 Subject to clause 3.2 and clause 3.3, the Customer Client may, from time to time during any Subscription Term, purchase additional User Subscriptions in excess of the number set out in 1 paragraph 2 of Schedule 1 and the Supplier shall grant access to the Services and the Documentation System to such additional Authorised Users in accordance with the provisions of this agreement. 3.2 If the Customer Client wishes to purchase additional User Subscriptions, the Customer Client shall notify the Supplier in writing. The Supplier shall evaluate such request for additional User Subscriptions and respond to the Customer Client with approval or rejection of the request (such approval not to be unreasonably withheld). Where the Supplier approves the request, the Supplier shall activate the additional User Subscriptions within 5 days Business Days of its approval of the CustomerClient's request. 3.3 If the Supplier approves the CustomerClient's request to purchase additional User Subscriptions, the Customer Client shall, within 30 days of the date of the Supplier's invoice, pay to the Supplier the relevant fees for such additional User Subscriptions as set out in 2 paragraph 3 of Schedule 1 and, if such additional User Subscriptions are purchased by the Customer Client part way through a period when the Initial Subscription Term or any Renewal Period (as applicable)Client has issued notice to the Supplier to terminate the agreement, such fees shall be pro-rated from the date of activation by the Supplier for the remainder of the Initial Subscription Term or then current Renewal Period (as applicable)Term.

ADDITIONAL USER SUBSCRIPTIONS. 3.1 Subject to Clause 3.2 and Clause 3.3, the Customer may, from time to time during any Subscription Term, purchase additional User Subscriptions in excess of the number set out in Clause 1 of Schedule 1 and the Supplier Incaplex shall grant access to the Services and the Documentation to such additional Authorised Users in accordance with the provisions of this agreementAgreement. 3.2 If the Customer wishes to purchase additional User Subscriptions, the Customer shall notify the Supplier Incaplex in writing. The Supplier Incaplex shall evaluate such request for additional User Subscriptions and respond to the Customer with approval or rejection disapproval of the request (such approval not to be unreasonably withheld). Where the Supplier approves the request, the Supplier shall activate the additional User Subscriptions within 5 days of its approval of the Customer's request. 3.3 If the Supplier Incaplex approves the Customer's request to purchase additional User Subscriptions, the Customer shall, within 30 days of the date of the SupplierIncaplex's invoice, pay to the Supplier Incaplex the relevant fees for such additional User Subscriptions as set out in Clause 2 of Schedule 1 and, if such additional User Subscriptions are purchased by the Customer part way through the Initial Subscription Term or any Renewal Period (as applicable), such fees shall be pro-rated from the date of activation by the Supplier for the remainder of the Initial Subscription Term or then current Renewal Period (as applicable). 3.4 Except with the prior written consent of Incaplex, User Subscriptions (including additional User Subscriptions) ordered, cannot be decreased by the Customer prior to the end of the term for such subscriptions regardless of termination by the Customer, non-payment, non- use or other conduct or inaction by the Customer.

ADDITIONAL USER SUBSCRIPTIONS. 3.1 5.1. Subject to 3.2 Clause 5.2 and 3.3Clause 5.3, the Customer may, from time to time during any Subscription Term, purchase additional User Subscriptions in excess of the number at the prices as set out in 1 of per Schedule 1 and the Supplier shall grant access to the Services and the Documentation documentation to such additional Authorised Users in accordance with the provisions of this agreementAgreement. 3.2 5.2. If the Customer wishes to purchase additional User Subscriptions, the Customer shall notify the Supplier in writing. The Supplier shall evaluate such request for additional User Subscriptions and respond to the Customer with approval or rejection of the request (such approval not to be unreasonably withheld). Where the Supplier approves the request, the Supplier shall activate the additional User Subscriptions within 5 7 days of its approval of the Customer's ’s request. 3.3 5.3. If the Supplier approves the Customer's ’s request to purchase additional User Subscriptions, the Customer shall, within 30 days of the date of the Supplier's ’s invoice, pay to the Supplier the relevant fees for such additional User Subscriptions as set out in 2 of Schedule 1 and, if such additional User Subscriptions are purchased by the Customer part way through the Initial Subscription Term or any Renewal Period (as applicable), such fees shall be pro-rated from the date of activation by the Supplier for the remainder of the Initial Subscription Term or then current Renewal Period (as applicable).

ADDITIONAL USER SUBSCRIPTIONS. 3.1 Subject to 3.2 and 3.3In the event that the Customer requires additional User Subscriptions during the Subscription Term, the Customer may, from time to time during any Subscription Term, purchase either: 3.1 Purchase additional User Subscriptions in excess of the number set out quantity specified in 1 of Schedule 1 and the Supplier shall grant access to the Services and the Documentation to such additional Authorised Users in accordance with the provisions of this agreement.1, whereupon: 3.2 If the Customer wishes to purchase additional User Subscriptions, the a) The Customer shall notify the Supplier in writing. The Supplier shall evaluate such request for additional User Subscriptions writing and respond to the Customer with approval or rejection of the request (such approval not to be unreasonably withheld). Where the Supplier approves the request, the Supplier shall activate the additional User Subscriptions within 5 days of its approval ten (10) Business Days of the Customer's ’s request.; and 3.3 If the Supplier approves the Customer's request to purchase additional User Subscriptions, the b) The Customer shall, within 30 days of the date of the Supplier's invoice, shall pay to the Supplier the relevant fees Subscription Fees for such additional User Subscriptions as set out in 2 of Schedule 1 and, if such additional User Subscriptions are purchased by the Customer part way through the Initial Subscription Term or any Renewal Period (as applicable)Period, such fees Subscription Fees shall be pro-rated from the date of activation by the Supplier for the remainder of the Initial Subscription Term or then current Renewal Period (Period; or 3.2 Burst its usage by issuing additional User Subscriptions in excess of the quantity specified in Schedule 1 itself, whereupon: a) The Customer shall activate the additional User Subscriptions at its own convenience during the course of business as applicable)usual; and b) The Customer shall pay to the Supplier the burst usage rate for such additional User Subscriptions, as set out in Schedule 1, and such Subscription Fees shall be invoiced by the Supplier quarterly in arrears on a pro-rated basis. The Customer acknowledges that, in order to be granted the capability to burst its usage in accordance with this clause 3.2, the Customer must first opt-into bursting by written notification to the Supplier.

ADDITIONAL USER SUBSCRIPTIONS. 3.1 Subject to clause 3.2 and clause 3.3, the Customer may, from time to time during any Subscription Term, purchase additional User Subscriptions in excess of the number set out in 1 of Schedule 1 the original Sales Order and the Supplier THE NEXT PHASE shall grant access to the Services and the Documentation to such additional Authorised Authorized Users in accordance with the provisions of this agreementAgreement. 3.2 If the Customer wishes to purchase additional User Subscriptions, the Customer shall notify the Supplier THE NEXT PHASE in writing. The Supplier THE NEXT PHASE shall evaluate such request for additional User Subscriptions and respond to the Customer with approval or rejection disapproval of the request [(such approval not to be unreasonably withheld). Where the Supplier approves the request, the Supplier shall activate the additional User Subscriptions within 5 days of its approval of the Customer's request]. 3.3 If the Supplier THE NEXT PHASE approves the Customer's ’s request to purchase additional User Subscriptions, the Customer shall, within 30 15 days of the date of the Supplier's ’s invoice, pay to the Supplier the relevant fees for such additional User Subscriptions as set out in 2 of Schedule 1 the Sale Order and, if such additional User Subscriptions are purchased by the Customer part way through the Initial Subscription Term or any Renewal Period (as applicable), such fees shall be pro-rated from the date of activation by the Supplier for the remainder of the Initial Subscription Term or then current Renewal Period (as applicable). The additional User Subscriptions will be activated after the Supplier’s invoice is paid in full within 15 days of successful payment date.

The Supplier Yotta shall evaluate such request for additional User Subscriptions and respond to the Customer with approval or rejection of the request (such approval not to be unreasonably withheld). Where the Supplier Yotta approves the request, the Supplier ▇▇▇▇▇ shall activate the additional User Subscriptions within 5 working days of its approval of the Customer's request. 3.3 If the Supplier Yotta approves the Customer's request to purchase additional User Subscriptions, the Customer shall, within 30 days of the date of the Supplier▇▇▇▇▇'s invoice, pay to the Supplier Yotta the relevant fees for such additional User Subscriptions as set out in 2 of Schedule 1 or relevant Ordering Documents and, if such additional User Subscriptions are purchased by the Customer part way through the Initial Subscription Term or any Renewal Period (as applicable), such fees shall be pro-rated from the date of activation by the Supplier ▇▇▇▇▇ for the remainder of the Initial Subscription Term or then current Renewal Period (as applicable).

The Supplier DTS shall evaluate such request for additional User Subscriptions and respond to the Customer with approval or rejection of the request (such approval not to be unreasonably withheld). Where the Supplier DTS approves the request, the Supplier DTS shall activate the additional User Subscriptions within 5 days Business Days of its approval of the Customer's request. 3.3 If the Supplier DTS approves the Customer's request to purchase additional User Subscriptions, the Customer shall, within 30 days of the date of the Supplier's DTS' invoice, pay to the Supplier DTS the relevant fees for such additional User Subscriptions as set out in 2 of Schedule 1 and, if such additional User Subscriptions are purchased by the Customer part way through the Initial Subscription Term Period or any Renewal Period (as applicable), such fees shall be pro-rated from the date of activation by the Supplier DTS for the remainder of the Initial Subscription Term or then current Initial Period or Renewal Period (as applicable)) rounded up to the nearest whole month.

The Supplier shall evaluate such request for additional User Subscriptions and respond to the Customer with approval or rejection of the request (such approval not to be unreasonably withheld)request. Where the Supplier approves the request, the Supplier shall activate the additional User Subscriptions within 5 28 days of its approval of the Customer's request. 3.3 If the Supplier approves the Customer's request to purchase additional User Subscriptions, the Customer shall, within 30 days of the date of the Supplier's invoice, pay to the Supplier the relevant fees for such additional User Subscriptions as set out in 2 Error! ADDITIONAL USER SUBSCRIPTIONS. ‌ 3.1 Subject to clause 3.2 and clause 3.3, the Customer Client may, from time to time during any Subscription Term, purchase additional alter the number of User Subscriptions in excess of the number set out in paragraph 1 of Schedule 1 and the Supplier shall grant access to the Services and the Documentation System to such additional Authorised Users Users, or limit the access to the reduced number, in accordance with the provisions of this agreement. 3.2 If the Customer Client wishes to purchase additional User Subscriptions, the Customer Client shall notify the Supplier in writing. The Supplier shall evaluate such request for additional User Subscriptions and respond to the Customer Client with approval or rejection of the request (such approval not to be unreasonably withheld). Where the Supplier approves the request, the Supplier shall activate the additional User Subscriptions within 5 days Business Days of its approval of the CustomerClient's request.request.‌ 3.3 If the Supplier approves the CustomerClient's request to purchase additional User Subscriptions, the Customer Client shall, within 30 days of the date of the Supplier's invoice, pay to the Supplier the relevant fees for such additional User Subscriptions as set out in paragraph 2 of Schedule 1 and, if such additional User Subscriptions are purchased by the Customer Client part way through a period when the Initial Subscription Term or any Renewal Period (as applicable)Client has issued notice to the Supplier to terminate the agreement, such fees shall be pro-rated from the date of activation by the Supplier for the remainder of the Initial Subscription Term or then current Renewal Period (as applicable).Term.‌

ADDITIONAL USER SUBSCRIPTIONS. 3.1 Subject to clause 3.2 and clause 3.3, the Customer may, from time to time during any Subscription Term, purchase additional User Subscriptions in excess of the number set out in paragraph 1 of Schedule 1 and the Supplier shall grant access to the Subscription Services and the Documentation to such additional Authorised Users in accordance with the provisions of this agreementAgreement. 3.2 If the Customer wishes to purchase additional User Subscriptions, the Customer shall notify the Supplier in writing. The Supplier shall evaluate such request for additional User Subscriptions and respond to the Customer with approval or rejection of the request (such approval not to be unreasonably withheld). Where the Supplier approves the request, the Supplier shall activate notify the Customer when the additional User Subscriptions within 5 days of its approval of the Customer's requestwill be activated. 3.3 If the Supplier approves the Customer's request to purchase additional User Subscriptions, the Customer shall, within 30 days of the date of the Supplier's invoice, pay to the Supplier the relevant fees for such additional User Subscriptions as set out in paragraph 2 of Schedule 1 and, if such additional User Subscriptions are purchased by the Customer part way through the Initial Subscription Term or any Renewal Period (as applicable), such fees shall be pro-rated from the date of activation by the Supplier for the remainder of the Initial Subscription Term or then current Renewal Period (as applicable).

Where the Supplier approves the request, the Supplier shall activate the additional User Subscriptions within 5 days of its approval of the Customer's request. 3.3 If the Supplier approves the Customer's ’s request to purchase additional User Subscriptions, the Customer shall, within 30 days of the date of the Supplier's ’s invoice, pay to the Supplier the relevant fees for such additional User Subscriptions as set out in paragraph 2 of Schedule 1 and, if such additional User Subscriptions are purchased by the Customer part way through the Initial Subscription Term or any Renewal Period (as applicable), such fees shall be pro-rated from the date of activation by the Supplier for the remainder of the Initial Subscription Term or then current Renewal Period (as applicable).

The Supplier shall evaluate such request for additional User Subscriptions Subscriptions‌ and respond to the Customer Client with approval or rejection of the request (such approval not to be unreasonably withheld). Where the Supplier approves the request, the Supplier shall activate the additional User Subscriptions within 5 working days of its approval of the CustomerClient's request. 3.3 If the Supplier approves the CustomerClient's request to purchase additional User Subscriptions, the Customer Client shall, within 30 days of the date of the Supplier's invoice, pay to the Supplier the relevant fees for such additional User Subscriptions as set out in 2 the Letter of Schedule 1 Engagement and, if such additional User Subscriptions are purchased by the Customer Client part way through the Initial Subscription Term or any Renewal Period (as applicable), such fees shall be pro-rated from the date of activation by the Supplier for the remainder of the Initial Subscription Term or then current Renewal Period (as applicable).applicable).‌

The Supplier NeuerEnergy shall evaluate such request for additional User Subscriptions and respond to the Customer with approval or rejection of the request (such approval not to be unreasonably withheld). Where the Supplier NeuerEnergy approves the request, the Supplier NeuerEnergy shall activate the additional User Subscriptions within 5 fourteen (14) days of its approval of the Customer's request. 3.3 If the Supplier NeuerEnergy approves the Customer's request to purchase additional User Subscriptions, the Customer shall, within 30 days of the date of the SupplierNeuerEnergy's invoice, pay to the Supplier NeuerEnergy the relevant fees for such additional User Subscriptions as set out in 2 of Schedule 1 and, if such additional User Subscriptions are purchased by the Customer part way through the Initial Subscription Term or any Renewal Period (as applicable), such fees shall be pro-rated from the date of activation by the Supplier NeuerEnergy for the remainder of the Initial Subscription Term or then current Renewal Period (as applicable).

The Supplier Causeway shall evaluate such request for additional User Subscriptions and respond to the Customer with approval or rejection of the request [(such approval not to be unreasonably withheld)]. Where the Supplier Causeway approves the request, the Supplier ▇▇▇▇▇▇▇▇ shall activate the additional User Subscriptions within 5 days of its approval of the Customer's request. 3.3 If the Supplier Causeway approves the Customer's request to purchase additional User Subscriptions, the Customer shall, within 30 days of the date of the SupplierCauseway's invoice, pay to the Supplier Causeway the relevant fees for such additional User Subscriptions as set out in 2 of Part 2, Schedule 1 and, if such additional User Subscriptions are purchased by the Customer part way through the Initial Subscription Term or any Renewal Period (as applicable), such fees shall be pro-rated from the date of activation by the Supplier Causeway for the remainder of the Initial Subscription Term or then current Renewal Period (as applicable).

The Supplier shall evaluate such request for additional User Subscriptions and respond to the Customer with approval or rejection of the request (such approval not to be unreasonably withheld). The Supplier shall evaluate such request for additional User Subscriptions and respond to the Customer with approval or rejection of the request (such approval not to be unreasonably withheld)request. Where the Supplier approves the request, the Supplier shall activate the additional User Subscriptions within 5 days of as soon as practicable following its approval of the Customer's request. 3.3 5.3 If the Supplier approves the Customer's request to purchase additional User Subscriptions, the Customer shall, within 30 15 days of the date of the Supplier's invoice, pay to the Supplier the relevant fees for such additional User Subscriptions as set out in 2 of Schedule 1 the Quotation or as otherwise notified by the Supplier to the Customer and, if such additional User Subscriptions are purchased by the Customer part way through the LMS Initial Subscription Term or any Renewal Period LMS Successive Term (as applicable), such fees shall be pro-rated from the date of activation by the Supplier for the remainder of the LMS Initial Subscription Term or then current Renewal Period any LMS Successive Term (as applicable).
