Common use of Adequate Disclosure Clause in Contracts

Adequate Disclosure. No representation or warranty made by KBG pursuant to this Agreement, or any statement contained in any Exhibit or Schedule to this Agreement, or any certificate or document furnished or to be furnished by KBG pursuant to the terms of this Agreement in connection with the transactions contemplated hereby, contains any untrue or misleading statement of a material fact or omits to state a material fact necessary in order to make the statements contained therein not misleading.
