Common use of Adequate Information Clause in Contracts

Adequate Information. Shareholder is a sophisticated shareholder and has adequate information concerning the business and financial condition of Parent and the Company to make an informed decision regarding this Agreement and the Transactions and has independently and without reliance upon Parent or the Company and based on such information as such Shareholder has deemed necessary or appropriate, made its own analysis and decision to enter into this Agreement. Such Shareholder acknowledges that Parent and the Company have not made and do not make any representation or warranty, whether express or implied, of any kind or character to the Company Shareholder except as expressly set forth in this Agreement. Such Shareholder acknowledges that the agreements contained herein with respect to the Shares held by such Shareholder are irrevocable.

Such Shareholder acknowledges that the agreements contained herein with respect to the Shares Subject Interests held by such Shareholder are irrevocable.
