Adjustment Due to Change in Number of Outstanding Shares Sample Clauses

The "Adjustment Due to Change in Number of Outstanding Shares" clause ensures that contractual terms tied to a company's shares, such as conversion rates or option entitlements, are automatically recalibrated if the total number of shares changes. For example, if the company undergoes a stock split, reverse split, or issues additional shares, the relevant figures in the agreement are adjusted proportionally to maintain the original economic intent. This clause protects parties from unintended dilution or windfall gains, ensuring fairness and consistency despite changes in the company’s capital structure.
