Adjustment of Common Stock Issuable Upon Exercise Sample Clauses
The "Adjustment of Common Stock Issuable Upon Exercise" clause defines how the number of shares of common stock that can be obtained through the exercise of a warrant, option, or similar instrument may be modified under certain circumstances. Typically, this clause outlines adjustments in response to events such as stock splits, stock dividends, mergers, or other corporate actions that affect the total number of outstanding shares. For example, if a company issues additional shares or consolidates its stock, the exercise terms are recalculated to ensure the holder's potential ownership is not unfairly diluted or increased. The core function of this clause is to maintain fairness and protect both the company and the instrument holder from unintended changes in value or ownership percentage due to corporate restructuring or similar events.
