Common use of Administration of Each Trust Clause in Contracts

Administration of Each Trust. (a) The Trustee (and, to the extent required in the applicable Series Supplement, any Administrative Agent) shall administer the Underlying Securities for each given Trust for the sole benefit of the Certificateholders of the related Series. In engaging in such activities, the Trustee (or the Administrative Agent, if applicable) shall, subject to the provisions of Article VI hereof, follow or cause to be followed collection procedures in accordance with the terms of this Agreement and the applicable Series Supplement, the respective Underlying Securities and any applicable Credit Support Instruments. With respect to each Trust, and subject only to the above-described standards and the terms of this Agreement, the related Series Supplement and the respective Underlying Securities and applicable Credit Support Instruments, if any, the Trustee (or the Administrative Agent, if applicable) shall have full power and authority, acting alone or through Sub-Administrative Agents as provided in Section 3.2, to do or cause to be done any and all things in connection with such administration which it deems necessary to comply with the terms of this Agreement and the applicable Series Supplement. (b) Without limiting the generality of the terms of paragraph (a) of this Section 3.1, with respect to any Series of Certificates, the Administrative Agent, if any, specified in the applicable Series Supplement shall be hereby authorized and empowered by the Trustor, when such Administrative Agent believes it appropriate in its reasonable judgment and when otherwise required by a Series Supplement, in its own name or in the name of a Sub- Administrative Agent, (i) to instruct the Trustee to make distributions or payments from the Certificate Account or any other Account for such Series, as set forth herein or in the related Series Supplement, and (ii) to the extent specified in the related Series Supplement, to execute and deliver, on behalf of the Certificateholders of such Series and the Trustee or any of them, and upon notice to the Trustee, any and all instruments of satisfaction or cancellation, or of partial or full release or discharge, and all other comparable instruments, with respect to any of the Underlying Securities relating to such Series. (c) The duties of the Trustee and the Administrative Agent, if any, shall be performed in accordance with applicable local, state and federal law, and the Trustee (or, if specified in the applicable Series Supplement, the Administrative Agent) shall make any and all filings, reports, notices or applications with, and seek any comments and authorizations from, the Commission and any State securities authority on behalf of the Trust for each Series. If the applicable Series Supplement appoints an Administrative Agent, the Trustee, in its capacity as Trustee, shall execute, at the direction of such Administrative Agent, any powers of attorney and other documents necessary or appropriate to enable the Administrative Agent to carry out any of its administrative duties hereunder; provided, however, that the Trustee, in its capacity as Trustee, shall not be accountable for the actions of the Administrative Agent or any Sub- Administrative Agents under such powers of attorney.

(b) Without limiting the generality of the terms of paragraph (a) of this Section 3.1, with respect to any Series of Certificates, the Administrative Agent, if any, specified in the applicable Series Supplement shall be hereby authorized and empowered by the TrustorDepositor, when such Administrative Agent believes it appropriate in its reasonable judgment and when otherwise required by a Series Supplement, in its own name or in the name of a Sub- Administrative Agent, (i) to instruct the Trustee to make distributions or payments from the Certificate Account or any other Account for such Series, as set forth herein or in the related Series Supplement, and (ii) to the extent specified in the related Series Supplement, to execute and deliver, on behalf of the Certificateholders of such Series and the Trustee or any of them, and upon notice to the Trustee, any and all instruments of satisfaction or cancellation, or of partial or full release or discharge, and all other comparable instruments, with respect to any of the Underlying Securities Term Assets relating to such Series. (c) The duties of the Trustee and the Administrative Agent, if any, shall be performed in accordance with applicable local, state State and federal Federal law, and the Trustee (or, if specified in the applicable Series Supplement, the Administrative Agent) shall at the direction of the Administrative Agent or, if none, as specified in the applicable Series Supplement and/or by the Depositor, make any and all filings, reports, notices or applications with, and seek any comments and authorizations from, the Commission and any State securities authority on behalf of the Trust for each SeriesSeries to the extent it is provided with appropriate information, materials and responses by the Administrative Agent or, if none, as specifically set forth in the applicable Series Supplement and/or by the Depositor. If the applicable Series Supplement appoints an Administrative Agent, the Trustee, in its capacity as Trustee, shall execute, at the direction of such Administrative Agent, any powers of attorney and other documents necessary or appropriate to enable the Administrative Agent to carry out any of its administrative duties hereunder; provided, however, that the Trustee, in its capacity as Trustee, shall not be accountable for the actions of the Administrative Agent or any Sub- Sub-Administrative Agents under such powers of attorney.

(b) Without limiting The parties acknowledge that the generality Trustee, as the holder of the terms Underlying Securities, has the right to vote and give consents and waivers in respect of paragraph (a) of this Section 3.1, with respect to any Series of Certificates, the Administrative AgentUnderlying Securities and enforce the other rights, if any, specified of a holder of the Underlying Securities, except as otherwise limited by this Agreement. In the event that the Trustee receives a request from the Underlying Securities Trustee, the Underlying Securities Issuer or, if applicable, the Depositary with respect to the Underlying Securities, for the Trustee's consent to any amendment, modification or waiver of the Underlying Securities, the Indenture or any other document thereunder, or relating thereto, or receives any other solicitation for any action with respect to the Underlying Securities, the Trustee shall within ten Business Days mail a notice of such proposed amendment, modification, waiver or solicitation to each Certificateholder of record as of the date of such request. The Trustee shall request instructions from the Certificateholders as to what action to take in response to such request and shall be protected in taking no action if no direction is received. Except as otherwise provided herein, the Trustee shall consent or vote, or refrain from consenting or voting, in the applicable Series Supplement shall be hereby authorized and empowered same proportion (based on the Voting Rights of the Certificates) as the Certificates of the Trust were actually voted or not voted by the TrustorHolders thereof as of the date determined by the Trustee prior to the date such vote or consent is required; provided, when such Administrative Agent believes it appropriate however, that, notwithstanding anything to the contrary in its reasonable judgment and when otherwise required by a Series Supplementthis Agreement, the Trustee shall at no time vote in its own name favor of or in the name of a Sub- Administrative Agent, consent to any matter (i) that would alter the timing or amount of any payment on the Underlying Securities (including, without limitation, any demand to instruct accelerate the Trustee to make distributions Underlying Securities) or payments from the Certificate Account or any other Account for such Series, as set forth herein or in the related Series Supplement, and (ii) to the extent specified that would result in the related Series Supplementexchange or substitution of any Underlying Security pursuant to a plan for the refunding or refinancing of such Underlying Security, to execute and deliver, on behalf except in each case with the unanimous consent of the Certificateholders and subject to the requirement that such vote would not materially increase the likelihood that the Trust will fail to qualify as a grantor trust for federal income tax purposes, such determination to be based solely on an Opinion of such Series and Counsel. The Trustee shall have no liability for any failure to act or to refrain from acting resulting from the Certificateholders' late return of, or failure to return, directions requested by the Trustee or any of them, and upon notice to from the Trustee, any and all instruments of satisfaction or cancellation, or of partial or full release or discharge, and all other comparable instruments, with respect to any of the Underlying Securities relating to such SeriesCertificateholders. (c) Except as is otherwise provided in the Series Supplement, the Trustee shall act as the sole Authenticating Agent, Paying Agent, and Certificate Registrar. (d) The duties of the Trustee and the Administrative Agent, if any, shall be performed in accordance with applicable local, state State and federal Federal law. The Depositor will make, and the Trustee (oror cause to be made, if specified in the applicable Series Supplement, the Administrative Agent) shall make any and all filings, reports, notices or applications with, and seek any comments and authorizations from, the Commission and any State securities authority on behalf of the Trust for each Series. If Series to the applicable Series Supplement appoints an Administrative Agentextent required by law or otherwise deemed necessary or appropriate by the Depositor, and the TrusteeTrustee will cooperate with the Depositor in such connection to the extent it is provided with appropriate information, materials and responses by the Depositor. (e) The Trustee shall provide the Depositor as soon as practicable copies of each notice, report or other communication relating to the Underlying Securities and Underlying Securities Issuer received by it in its capacity as holder of the Underlying Securities or in its capacity as Trustee. In addition, the Trustee shall executefurnish to the Depositor copies of all pleadings, at the direction of such Administrative Agent, any powers of attorney complaints and other documents necessary received by it relating to any Proceeding involving the Trust or appropriate to enable the Administrative Agent to carry out any of its administrative duties hereunder; provided, however, that the Trustee, in its capacity as Trustee, shall not be accountable for the actions of the Administrative Agent or any Sub- Administrative Agents under such powers of attorneyCertificates.

Except as otherwise provided herein, the Trustee shall consent or vote, or refrain from consenting or voting, in the applicable Series Supplement shall be hereby authorized and empowered same proportion (based on the Voting Rights of the Certificates) as the Certificates of the Trust were actually voted or not voted by the TrustorHolders thereof as of the date determined by the Trustee prior to the date such vote or consent is required; provided, when such Administrative Agent believes it appropriate however, that, notwithstanding anything to the contrary in its reasonable judgment and when otherwise required by a Series Supplementthis Agreement, the Trustee shall at no time vote in its own name favor of or in the name of a Sub- Administrative Agent, consent to any matter (i) that would alter the timing or amount of any payment on the Term Assets (including, without limitation, any demand to instruct accelerate the Trustee to make distributions Term Assets) or payments from the Certificate Account or any other Account for such Series, as set forth herein or in the related Series Supplement, and (ii) to the extent specified that would result in the related Series Supplementexchange or substitution of any Term Asset pursuant to a plan for the refunding or refinancing of such Term Asset, to execute and deliver, on behalf except in each case with the unanimous consent of the Certificateholders and subject to the requirement that such vote would not materially increase the likelihood that the Trust will fail to qualify as a grantor trust for federal income tax purposes, such determination to be based solely on an Opinion of such Series and Counsel. The Trustee shall have no liability for any failure to act or to refrain from acting resulting from the Certificateholders' late return of, or failure to return, directions requested by the Trustee or any of them, and upon notice to from the Trustee, any and all instruments of satisfaction or cancellation, or of partial or full release or discharge, and all other comparable instruments, with respect to any of the Underlying Securities relating to such SeriesCertificateholders. (c) Except as is otherwise provided in the Series Supplement, the Trustee shall act as the sole Authenticating Agent, Paying Agent, and Certificate Registrar. (d) The duties of the Trustee and the Administrative Agent, if any, shall be performed in accordance with applicable local, state State and federal Federal law, and the Trustee (or, if specified shall cooperate with Depositor the in the applicable Series Supplement, the Administrative Agent) shall make making any and all filings, reports, notices or applications with, and seek any comments and authorizations from, the Commission and any State securities authority on behalf of the Trust for each Series. If Series to the applicable Series Supplement appoints an Administrative Agentextent it is provided with appropriate information, materials and responses by the TrusteeDepositor. (e) The Trustee shall provide the Depositor as soon as practicable copies of each notice, report or other communication relating to the Term Assets and Term Assets Issuer received by it in its capacity as holder of the Term Assets or in its capacity as Trustee. With respect to each Trust, and subject only to the above-described standards and the terms of this Agreement, the related Series Supplement and the respective Underlying Securities Term Assets and applicable Credit Support Instruments, if any, the Trustee (or the Administrative Agent, if applicable) shall have full power and authority, acting alone or through Sub-Administrative Agents as provided in Section 3.2, to do or cause to be done any and all things in connection with such administration which it deems necessary to comply with the terms of this Agreement and the applicable Series Supplement. (b) Without limiting the generality of the terms of paragraph (a) of this Section 3.1, with respect to any Series of Certificates, the Administrative Agent, if any, specified in the applicable Series Supplement shall be hereby authorized and empowered by the TrustorDepositor, when such Administrative Agent believes it appropriate in its reasonable judgment and when otherwise required by a Series Supplement, in its own name or in the name of a Sub- Sub-Administrative Agent, (i) to instruct the Trustee to make distributions or payments from the Certificate Account or any other Account for such Series, as set forth herein or in the related Series Supplement, and (ii) to the extent specified in the related Series Supplement, to execute and deliver, on behalf of the Certificateholders of such Series and the Trustee or any of them, and upon notice to the Trustee, any and all instruments of satisfaction or cancellation, or of partial or full release or discharge, and all other comparable instruments, with respect to any of the Underlying Securities Term Assets relating to such Series. (c) The duties of the Trustee and the Administrative Agent, if any, shall be performed in accordance with applicable local, state State and federal Federal law, and the Trustee (or, if specified in the applicable Series Supplement, the Administrative Agent) shall at the direction of the Administrative Agent or, if none, as specified in the applicable Series Supplement and/or by the Depositor, make any and all filings, reports, notices or applications with, and seek any comments and authorizations from, the Commission and any State securities authority on behalf of the Trust for each SeriesSeries to the extent it is provided with appropriate information, materials and responses by the Administrative Agent or, if none, as specifically set forth in the applicable Series Supplement and/or by the Depositor. If the applicable Series Supplement appoints an Administrative Agent, the Trustee, in its capacity as Trustee, shall execute, at the direction of such Administrative Agent, any powers of attorney and other documents necessary or appropriate to enable the Administrative Agent to carry out any of its administrative duties hereunder; provided, however, that the Trustee, in its capacity as Trustee, shall not be accountable for the actions of the Administrative Agent or any Sub- Sub-Administrative Agents under such powers of attorney.
