Administrative Agent Direction Clause Samples

Administrative Agent Direction. Each of the undersigned Lenders (collectively constituting all of the Lenders party to the Credit Agreement) hereby (i) authorize and direct the Administrative Agent and the Collateral Agent to execute and deliver this Amendment and any other document that the Administrative Agent and/or Collateral Agent is required to execute in connection therewith; and (ii) acknowledge and agree that the direction set forth in this Section

Administrative Agent Direction. The Lenders executing this Agreement, constituting the Requisite Lenders, hereby instruct and direct the Agents to enter into, execute, and deliver this Agreement.

Administrative Agent Direction. The Lenders party hereto (which collectively constitute all 2023 Refinancing Term Lenders) (a) authorize and direct the Administrative Agent to execute this Agreement; (b) consent to the transactions contemplated by this Agreement; and (c) authorize and direct the Administrative Agent to take any and all actions and execute such documents as shall be required to give effect to or otherwise implement this Agreement.

Administrative Agent Direction. The Required Lenders and each of the Lenders executing this Agreement hereby instructs and directs the Administrative Agent, in such capacity or in its capacity as Collateral Agent, to enter into, execute, deliver this Agreement, the Foreign Guaranty and each Foreign Security Document that requires the signature of the Administrative Agent or the Collateral Agent.

Administrative Agent Direction. Each of the undersigned Lenders (collectively constituting all of the Lenders under the Credit Agreement) hereby (i) authorizes and directs the Administrative Agent to execute and deliver this Amendment; (ii) authorizes and directs the Administrative Agent to execute and deliver that certain First Amendment to Intercreditor Agreement attached hereto as Exhibit A (the “ICA Amendment”), and to act on its behalf and to take all actions contemplated by the ICA Amendment and agrees that it shall be bound by the ICA Amendment as if a signatory thereto; and (iii) acknowledges and agrees that the direction set forth in this Amendment constitutes an instruction and request of the Lenders under the Loan Documents, including Sections 9.03 and 9.04 of the Credit Agreement.

Administrative Agent Direction. Each undersigned Lender (collectively constituting all Lenders party to the Term Loan Agreement) hereby directs the Administrative Agent to execute and deliver this Second Forbearance Agreement.

Administrative Agent Direction. The Administrative Agent is hereby authorized and directed by the Lenders and Issuing Banks, upon this Amendment becoming effective, to execute, on behalf of the Lenders and Issuing Bank, and deliver to those Borrowers which have heretofore been Guarantors in consideration of their having executed and delivered this Amendment and, by the terms hereof, become Borrowers jointly and severally liable for the Obligations, a release of the obligations of such Borrowers under the Guaranties heretofore executed and delivered by them.
