Common use of Administrator and Authorized Users Clause in Contracts

Administrator and Authorized Users. 37.1 Member shall designate an Administrator with Navigant as set forth in Schedule B to this Agreement or other set-up form(s). Member is solely responsible for designating its Administrator. 37.2 The Administrator may designate Authorized Users. As an additional security procedure Member may designate only one Administrator at a time. Member accepts as its sole responsibility the Administrator’s designation of Authorized Users. Member understands that the Administrator will control, and Member authorizes the Administrator to control, access by Authorized Users of Online Banking through the issuance of Access Devices. The Administrator has full online control over and access to Online Banking and has the responsibility and authority to: (i) designate Authorized Users by establishing User Access Devices; (ii) terminate or cancel User Access Devices; (iii) grant and/or deny a User's access to Member’s online Accounts; (iv) grant and/or deny a User's access to specific features of Online Banking; (v) establish User limits for initiating transactions; and (vi) grant and/or deny approval authority to a User. Navigant does not control access by any of Member’s Authorized Users to Online Banking. 37.3 Member will require the Administrator and each Authorized User to review and comply with all provisions of this Agreement and all other applicable agreements. Member acknowledges and agrees that it is fully responsible for the failure of the Administrator or any Authorized User to comply with this Agreement and all other applicable agreements. Member is responsible for any payment, transfer and other use of Online Banking and any charges incurred by the Administrator and any Authorized User, even if such Administrator or Authorized User exceeds his/her authorization. 37.4 It is Member’s responsibility to notify Navigant, in writing, whenever Member’s Administrator leaves Member’s employ or Member changes the designation of the Administrator. Navigant may rely on all designations until it has received written notification of the revocation of a designation and has a reasonable time to act on such notification. Whenever any Authorized User leaves Member’s employ or is no longer authorized, it is Member’s responsibility through the Administrator, to terminate that User's access to Online Banking. 37.5 The designation and termination of the authority of any Authorized User and the control of access to any functionality of Online Banking is in the sole control of Member. Navigant cannot effect such designations or changes.

Member accepts The Administrator(s) will be responsible for establishing other Authorized Users within the online system, assigning their User IDs, transaction limits, and specific responsibilities. Each Authorized User will in turn be assigned a User ID and will choose a password. You accept as its your sole responsibility the Administrator’s designation of other Administrators and Authorized Users. Member understands You understand that the Administrator will control, and Member authorizes you authorize the Administrator to control, access by other Administrators and Authorized Users of Online Banking through the issuance of Premier Business Connect Service by instructing us to issue Access Devices. The Administrator has full online control over Administrator(s) may instruct us to add, change or terminate your Authorized User(s) or de-activate an Access Device(s) from time to time and access to Online Banking and has the responsibility and authority to: (iin such Administrator(s) designate Authorized Users by establishing User Access Devices; (ii) terminate or cancel User Access Devices; (iii) grant and/or deny a User's access to Member’s online Accounts; (iv) grant and/or deny a User's access to specific features of Online Banking; (v) establish User limits for initiating transactions; and (vi) grant and/or deny approval authority to a Usersole discretion. Navigant does We do not control access by any of Member’s your Authorized Users to Online Bankingany part or feature of the Premier Business Connect Service. Through the designation of the Administrator(s) and by and through the authority granted to that individual to further assign Authorized User accounts, rights, and responsibilities, you confirm and certify that the authorities granted are consistent with and supported by a resolution of your governing board or similar authority. 37.3 Member 5.3 You will require the each Administrator and each Authorized User to review and comply with all provisions of this Agreement and all other applicable any associated Service agreements. Member acknowledges You acknowledge and agrees agree that it is you are fully responsible for the failure of the any Administrator or any Authorized User to comply with this Agreement and all other applicable agreementsso comply. Member is You are responsible for any payment, transfer and other use of Online Banking the Services and any charges incurred by the any Administrator and any Authorized User, even if such Administrator or Authorized User exceeds his/her authorizationthe Administrator(s) authorization as established by you. 37.4 It is Member5.4 If an Authorized User authorizes other persons/entities to use the Authorized User’s responsibility Access Devices in any manner, such authorization will be considered unlimited in amount and manner until you have notified us in writing as set forth in this Agreement that you have revoked the authorization and changed, or caused us to change, the subject Authorized User’s Access Devices. You are responsible for any transactions made by such person/entity until you notify Navigantus that transfers by that person/entity are no longer authorized and we have had a reasonable opportunity to act upon the requested change. We will not be liable for, and will not reimburse you for, any losses that may occur as a result of this authorized use of an Authorized User’s Access Devices. 5.5 You shall notify us of any changes in writingaccess to or use of the Services by the Administrator(s) or Authorized User(s) in accordance with the terms of this Agreement. Notwithstanding the foregoing, whenever Member’s an Administrator leaves Member’s employ or Member changes the designation of the Administrator. Navigant may rely on all designations until it has received written notification of the revocation of a designation and has a reasonable time to act on such notification. Member Customer accepts as its sole responsibility the Administrator’s designation of other Administrators and Authorized Users. Member Customer understands that the Administrator will control, and Member Customer authorizes the Administrator to control, access by other Administrators and Authorized Users of Online Banking the Services through the issuance of Access Devices. The Administrator has full online control over Administrator(s) may add, change or terminate Customer’s Authorized User(s) from time to time and access to Online Banking and has the responsibility and authority to: (i) designate Authorized Users by establishing User Access Devices; (ii) terminate or cancel User Access Devices; (iii) grant and/or deny a User's access to Member’s online Accounts; (iv) grant and/or deny a User's access to specific features of Online Banking; (v) establish User limits for initiating transactions; and (vi) grant and/or deny approval authority to a Userin his/her sole discretion. Navigant Bank does not control access by any of MemberCustomer’s Authorized Users to Online Bankingany of the Services. In the event that Customer designates more than one Administrator, Bank recommends that Customer manage its use of the Services by requiring dual approval to set up new Authorized Users. 37.3 Member 5.3 Customer will require the each Administrator and each Authorized User to review and comply with all provisions of this Agreement Appendix and all other applicable agreements. Member Customer acknowledges and agrees that it is fully responsible for the failure of the any Administrator or any Authorized User to comply with this Agreement and all other applicable agreementsso comply. Member Customer is responsible for any paymentPayment, transfer and other use of Online Banking Services and any charges incurred by the any Administrator and any Authorized User, even if such Administrator or Authorized User exceeds his/her authorization. 37.4 It is Member’s responsibility to notify Navigant, in writing, whenever Member’s Administrator leaves Member’s employ or Member changes the designation of the Administrator. Navigant may rely on all designations until it has received written notification of the revocation of a designation and has a reasonable time to act on such notification. 5.4 Whenever any Authorized User leaves MemberCustomer’s employ or is no longer authorized, it is Member’s responsibility through the Administrator, to terminate that User's access to Online Banking. 37.5 The designation and termination of Customer otherwise revokes the authority of any Authorized User and to access or use the control Services, the Administrator is solely responsible for de- activating such Authorized User’s Access Devices. Customer shall notify Bank of any changes in access to any functionality or use of Online Banking is the Services by the Administrator(s) or Authorized User(s) in accordance with the sole control terms of Memberthe Cash Management Master Agreement. Navigant cannot effect such designations Notwithstanding the foregoing, whenever an Administrator leaves Customer’s employ or changesCustomer otherwise revokes an Administrator’s authority to access or use the Services, Customer must notify Bank in writing immediately.

Member accepts as its sole responsibility For the purpose of this Agreement, the term "Administrator’s designation of Authorized Users. Member " will include "Senior Administrator," except where otherwise specified. 3.2 Customer understands that the Administrator its Administrator(s) will control, and Member Customer authorizes the Administrator Administrator(s) to control, access by Authorized Users of the Online Banking through the issuance of Service by instructing Bank to issue Access Devices. The Administrator has full online control over Administrator(s) may instruct Bank to add, change or terminate Customer's Authorized User(s) or de-activate an Access Device(s) from time to time and access to Online Banking and has in the responsibility and authority to: (i) designate Authorized Users by establishing User Access Devices; (ii) terminate or cancel User Access Devices; (iii) grant and/or deny a UserAdministrator(s)'s access to Member’s online Accounts; (iv) grant and/or deny a User's access to specific features of Online Banking; (v) establish User limits for initiating transactions; and (vi) grant and/or deny approval authority to a User. Navigant does not control access by any of Member’s Authorized Users to Online Bankingsole discretion. 37.3 Member 3.3 Customer will require the each Administrator and each Authorized User to review and comply with all provisions of the Master Agreement, this Agreement Appendix, any Addenda and all other applicable Appendices and/or agreements. Member Customer acknowledges and agrees that it is fully responsible for the failure of the any Administrator or any Authorized User to comply with this Agreement and all other applicable agreementsso comply. Member Customer is responsible for any payment, transfer and other use of the Online Banking Service and any charges incurred by the any Administrator and any Authorized User, even if such Administrator or Authorized User exceeds his/her authorizationauthorization as established by ▇▇▇▇▇▇▇▇. 37.4 It 3.4 If an Authorized User authorizes other persons/entities to use the Authorized User's Access Devices in any manner, such authorization will be considered unlimited in amount and manner until Customer has notified Bank in writing as set forth in the Master Agreement or this Appendix, that Customer has revoked the authorization and changed, or caused Bank to change, the subject Authorized User's Access Devices. Customer is Member’s responsibility responsible for any transactions made by such persons/entities until Customer notifies Bank that transfers by that person/entity are no longer authorized and Bank has had a reasonable opportunity to act upon the requested change. Bank will not be liable for and will not reimburse Customer for any losses that may occur as a result of this authorized use of an Authorized User's Access Devices. 3.5 Customer shall notify Navigant, Bank of any changes in writingaccess to or use of the Online Banking Service by the Administrator(s) or Authorized User(s) in accordance with the terms of the Master Agreement or this Appendix. Notwithstanding the foregoing, whenever Member’s an Administrator leaves Member’s employ or Member changes the designation of the Administrator. Navigant may rely on all designations until it has received written notification of the revocation of a designation and has a reasonable time to act on such notification. Member Customer understands and agrees that Administrator(s) possess the Administrator authority to bind Customer to the terms and conditions of any disclosures or agreements that are presented or agreed to by an Administrator; will control, and Member Customer authorizes the Administrator Administrator(s) to control, access by Authorized Users of Online Banking through the issuance of by instructing Bank to issue Access Devices. Member is responsible for any payment, transfer and other use of Online Banking and any charges incurred by the any Administrator and any Authorized User, even if such Administrator or Authorized User exceeds his/her authorization. 37.4 38.4 It is Member’s responsibility to notify Navigant, in writing, whenever Member’s Administrator leaves Member’s employ or Member changes the designation of the Administrator. Navigant may rely on all designations until it has received written notification of the revocation of a designation and has a reasonable time to act on such notification. Whenever any other Administrator or Authorized User leaves Member’s employ Member or is no longer authorized, it is Member’s responsibility through the Administrator or any other Administrator, to terminate that User's access to Online Banking. 37.5 38.5 The designation and termination of the authority of any other Administrator or Authorized User and the control of access to any functionality of Online Banking is in the sole control of Member. Navigant cannot effect such designations or changes.
