Common use of Administrator’s Declaration Clause in Contracts

Administrator’s Declaration. Not later than fourteen (14) days before the date 5 by which Class Counsel are required to file the Motion for Final Approval of 6 the Settlement, the Administrator will provide to Class Counsel and Defense 7 Counsel, a signed declaration suitable for filing in Court attesting to its due 8 diligence and compliance with all of its obligations under this Agreement, 9 including, but not limited to, its mailing of Class Notice, the Class Notices 10 returned as undelivered, the re-mailing of Class Notices, attempts to locate 11 Class Members, the total number of Requests for Exclusion from the 12 Settlement it received (both valid and invalid), the number of written 13 objections, and attach the Exclusion List. The Administrator will supplement 14 its declaration as needed or requested by the Parties and/or the Court. Class 15 Counsel is responsible for filing the Administrator’s declaration(s) in Court.

Not later than fourteen (14) calendar days 27 before the date 5 by which Class Counsel are Plaintiff is required to file the Motion for Final 28 Approval of 6 the Settlement, the Administrator will provide to Class 1 Counsel and Defense 7 Counsel, a signed declaration suitable for filing in 2 Court attesting to its due 8 diligence and compliance with all of its 3 obligations under this Agreement, 9 including, but not limited to, its 4 mailing of Class Notice, the Class Notices 10 returned as undelivered, the 5 re-mailing of Class Notices, attempts to locate 11 Class Members, the total 6 number of Requests for Exclusion from the 12 Settlement it received (both 7 valid and or invalid), the number of written 13 objections, objections and attach the 8 Exclusion List. The Administrator will supplement 14 its declaration as 9 needed or requested by the Parties and/or the Court. Class 15 Counsel is 10 responsible for filing the Administrator’s declaration(s) in Court.
