Adverse Litigation, Etc. There shall be no suit, action, investigation, inquiry or other proceeding by any governmental body or any other Person or any other legal or administrative proceeding pending or threatened which (a) seeks to enjoin or otherwise prevent the consummation of, or to recover any damages or obtain relief as a result of, the Acquisition or the financing thereof or the other transactions contemplated hereby, or (b) is related to the Acquisition, this Agreement, the Subsidiary Guaranty Agreement, any other Basic Document or the Notes and would, in your reasonable opinion, have a reasonable likelihood of having a material adverse effect on either of the parties hereto or any of the transactions contemplated hereby or thereby.
