AGENCY COMPONENT. The Agency shall be responsible for (i) demolition and clearance of the Westgate Center Site, (ii) surcharging the appropriate areas of the Westgate Center Site in accordance with the report prepared ▇▇▇▇▇▇ Geotechnical Consulting, Inc. dated December 15, 2003, as updated by any subsequent reports (“Surcharging”), (iii) grading the Westgate Center Site after completion of the Surcharging, including removing and replacing all previously imported fill and cover material over appropriate areas of the Westgate Center Site in a manner approved by consulting engineer to act as landfill cover and base for site development, (iv) installing the gas collection and venting system for areas of the Westgate Center Site generally under parking areas and around the perimeter of the Westgate Center Site but not under buildings, (v) with respect to the ▇▇▇▇▇ Mud Pit, preparing and submitting to the RWQCB a groundwater monitoring plan and a health risk assessment, and implementation of the groundwater monitoring plan including installation of two new monitoring ▇▇▇▇▇ as set forth in that certain letter dated January 18, 2008, from the RWQCB to the Agency, and follow-up work, if any, required by the RWQCB or other Responsible Agency, and (vi) performance of all other work required under the Approved RAP with respect to the Westgate Center Site other than the Developer Remedial Improvements as defined in the DDA. The Agency Component shall also include preparation of the following work plans described in the Interim Immunity Letter: Schedule of Activities, Health and Safety Plan, Surcharge Plan, Installation of Replacement and New Monitoring ▇▇▇▇▇, the Cover Material Source Testing and Modeling, the Construction Quality Assurance Plan and Requirements, Groundwater Monitoring Program, Landfill Gas Control System. The Agency shall cause the implementation of the Operations, Maintenance and Monitoring Plan until the Acceptance Date. All terms not defined herein shall have the meaning ascribed in the First Amended and Restated Reimbursement Agreement to which this is attached.
AGENCY COMPONENT. As part of its obligation to prepare the Applicable Parcel for delivery to the Developer, whether or not accomplished before or after Applicable Close of Escrow, Agency shall complete the Agency Remedial Improvements described in the Scope of Development within the time set forth in the Schedule of Performance. Agency may elect, on or before the time set forth in the Schedule of Performance, to require the Developer to construct and/or install the Agency Component provided that the Agency provides access to the Site to Developer and reimburses Developer for the costs thereof pursuant to the Reimbursement Agreement re Agency Component. In the event of such election, Agency hereby grants the Developer, its employees, consultants, contractors, subcontractors, agents and designees, permission to enter upon Site for the purpose of performing the Agency Component (it being acknowledged and agreed that Developer’s entry upon the Site pursuant to this Section 301.2 shall not be subject to the terms and conditions of the Right of Entry Agreement), and Agency may further elect whether to require the Developer to complete the Agency Component prior to the Close of Escrow or following the Close of Escrow.
AGENCY COMPONENT. The Agency shall be responsible for the Agency Component including, without limitation, demolition and clearance of the Site. The Agency shall also be responsible for the surcharging of the appropriate areas of the Site in accordance with the report prepared ▇▇▇▇▇▇ Geotechnical Consulting, Inc. dated December 15, 2003, as updated by any subsequent reports. The Agency shall also be responsible for the grading of the site and construction of certain Remedial Improvements (the “Agency Remedial Improvements”) as more specifically described as: (i) after completion of the surcharge program, remove all previously imported fill and cover material and replace over appropriate areas of Site in a manner approved by consulting engineer to act as landfill cover and base for site development, (ii) installation of the gas collection and venting system for areas of the Site generally under parking areas and around the perimeter of the Site and not under buildings,

  • Power Factor Design Criteria Developer shall design the Large Generating Facility to maintain an effective power delivery at demonstrated maximum net capability at the Point of Interconnection at a power factor within the range established by the Connecting Transmission Owner on a comparable basis, until NYISO has established different requirements that apply to all generators in the New York Control Area on a comparable basis. The Developer shall design and maintain the plant auxiliary systems to operate safely throughout the entire real and reactive power design range. The Connecting Transmission Owner shall not unreasonably restrict or condition the reactive power production or absorption of the Large Generating Facility in accordance with Good Utility Practice.
