Agent for Service. 23.1 JohnsonDiversey irrevocably appoints JohnsonDiversey UK Ltd. of Pyramid Close, ▇▇▇▇▇▇ ▇▇▇▇▇▇ ▇▇▇▇▇▇, ▇▇▇▇▇▇▇▇▇▇▇, ▇▇▇▇▇▇ ▇▇▇▇▇▇▇, ▇▇▇ ▇▇▇, to be its agent for the receipt of service of process in England. It agrees that any Service Document may be effectively served on it in connection with Proceedings in England and Wales by service on its agent. 23.2 NV irrevocably appoints PLC to be its agent for the receipt of service of process in England. It agrees that any Service Document may be effectively served on it in connection with Proceedings in England and Wales by service on its agent. 23.3 Any Service Document shall be deemed to have been duly served (i) on JohnsonDiversey, if marked for the attention of the Managing Director of JohnsonDiversey UK Limited; and (ii) on NV, if marked for the attention of the Corporate Counsel at Unilever PLC; and in each case: (A) left at the address specified above (in Clause 23.1, in respect of JohnsonDiversey, or in Clause 23.2 in respect of NV) or such other address within England and Wales as may be notified to the Party wishing to serve the Service Document; or (B) sent by first class post to the address specified above (in Clause 23.1, in respect of JohnsonDiversey, or in Clause 23.2 in respect of NV) or such other address within England and Wales as may be notified to the Party wishing to serve the Service Document. In the case of a Service Document served pursuant to Clause 23.3 (A), the Service Document will be deemed to have been duly served when it is left. In the case of a Service Document served pursuant to Clause 23.3 (B), the Service Document shall be deemed to have been duly served two clear Business Days after the date of posting. 23.4 If the agent of JohnsonDiversey or NV at any time ceases for any reason to act as such, that Party shall appoint a replacement agent having an address for service in England or Wales and shall notify the other Party of the name and address of the replacement agent. Failing such appointment and notification, the other Party shall be entitled by Notice to that Party to appoint a replacement agent to act on that Party’s behalf. The provisions of this Clause 23 applying to service on an agent apply equally to service on a replacement agent. 23.5 A copy of any Service Document served on an agent shall be sent by post to JohnsonDiversey or NV as appropriate. Failure or delay in so doing shall not prejudice the effectiveness of service of the Service Document.

Agent for Service. 23.1 JohnsonDiversey 27.1 Each Seller irrevocably appoints JohnsonDiversey UK Ltd. the Company to be its agent for the receipt of Pyramid Closeservice of process in England. Each Seller agrees that any Service Document may be effectively served on it in connection with Proceedings in England and Wales by service on its agent. Each Seller further agrees that, ▇▇▇▇▇▇ ▇▇▇▇▇as soon as possible following the date of this Agreement (and in any event prior to completion) they shall jointly appoint an independent process agent for service in accordance with clause 27.6. 27.2 The Purchaser irrevocably appoints eBay (UK) Limited of Carmelite, 5▇ ▇▇▇▇▇▇, ▇▇ ▇▇▇▇▇▇▇▇▇▇, ▇▇▇▇▇▇ ▇▇▇▇▇▇▇, ▇▇▇ ▇▇▇, to be its agent for the receipt of service of process in England. It The Purchaser agrees that any Service Document may be effectively served on it in connection with Proceedings in England and Wales by service on its agent. 23.2 NV 27.3 The Sellers’ Representative irrevocably appoints PLC Law Debenture of 5▇▇ ▇▇▇▇▇, ▇▇▇ ▇▇▇▇ ▇▇▇▇▇▇, ▇▇▇▇▇▇ ▇▇▇▇ ▇▇▇ to be its agent for the receipt of service of process in England. It The Sellers’ Representative agrees that any Service Document may be effectively served on it in connection with Proceedings in England and Wales by service on its agent. 23.3 27.4 The Company irrevocably appoints Law Debenture of 5▇▇ ▇▇▇▇▇, ▇▇▇ ▇▇▇▇ ▇▇▇▇▇▇, ▇▇▇▇▇▇ ▇▇▇▇ ▇▇▇ to be its agent for the receipt of process in England. The Company agrees that any Service Document may be effectively served on it in connection with Proceedings in England and Wales by service on its agent. 27.5 Any Service Document shall be deemed to have been duly served (i) on JohnsonDiversey, if marked for the attention of the Managing Director of JohnsonDiversey UK Limited; and (ii) on NV, if marked for the attention address of the Corporate Counsel at Unilever PLC; and in each case: relevant agent appointed under sub-clause 27.1 or 27.2 or 27.3 (A) left at as the address specified above (in Clause 23.1, in respect of JohnsonDiversey, or in Clause 23.2 in respect of NVcase may be) or such other address within England and Wales as may be notified to the Party party wishing to serve the Service DocumentDocument and: (a) left at the specified address; or (Bb) sent to the specified address by first class post to the address specified above (in Clause 23.1, in respect of JohnsonDiversey, or in Clause 23.2 in respect of NV) or such other address within England and Wales as may be notified to the Party wishing to serve the Service Documentpost. In the case of a Service Document served pursuant to Clause 23.3 (Aa), the Service Document will be deemed to have been duly served when it is left. In the case of a Service Document served pursuant to Clause 23.3 (Bb), the Service Document shall be deemed to have been duly served two three clear Business Days after the date of posting. 23.4 27.6 If the agent of JohnsonDiversey appointed under sub-clauses 27.1 or NV 27.2 or 27.3 at any time ceases for any reason to act as suchsuch for the relevant party, that Party party shall appoint a replacement agent having an address for service in England or Wales and shall notify the other Party parties of the name and address of the replacement agent. Failing such appointment and notification, the other Party parties shall be entitled by Notice notice to that Party party to appoint a replacement agent to act on that Partyparty’s behalf. The provisions of this Clause 23 applying to service on an agent apply equally to service on a replacement agent. 23.5 27.7 A copy of any Service Document served on an agent shall be sent by post to JohnsonDiversey or NV as appropriatethe party that appointed the relevant agent. Failure or delay in so doing shall not prejudice the effectiveness of service of the Service Document.

Agent for Service. 23.1 JohnsonDiversey 28.1 The Borrower irrevocably appoints JohnsonDiversey UK Ltd. of Pyramid Closeagrees that any Service Document may be sufficiently and effectively served on it in connection with Proceedings, ▇whether pursuant to this Agreement or any other Transaction Document, in England and Wales by service on its agent Ocwen Limited, Ref: ▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇, if no replacement agent has been appointed and notified to the Lender pursuant to sub-clause 28.4, or on the replacement agent if one has been appointed and notified to the Lender. 28.2 Any Service Document served pursuant to this clause shall be marked for the attention of: (1) Ocwen Limited, c/o Edge & ▇▇▇▇▇▇▇ at ▇▇ ▇▇▇▇▇▇▇▇▇▇▇ ▇▇▇▇▇, ▇▇▇▇▇▇, ▇▇▇▇ ▇▇, ▇▇ (Reference: ▇▇▇▇▇ ▇▇▇▇▇▇▇, ▇▇▇ ▇▇▇, to be its agent for the receipt of service of process in England. It agrees that any Service Document may be effectively served on it in connection with Proceedings in England and Wales by service on its agent. 23.2 NV irrevocably appoints PLC to be its agent for the receipt of service of process in England. It agrees that any Service Document may be effectively served on it in connection with Proceedings in England and Wales by service on its agent. 23.3 Any Service Document shall be deemed to have been duly served (i) on JohnsonDiversey, if marked for the attention of the Managing Director of JohnsonDiversey UK Limited; and (ii) on NV, if marked for the attention of the Corporate Counsel at Unilever PLC; and in each case: (A) left at the address specified above (in Clause 23.1, in respect of JohnsonDiversey, or in Clause 23.2 in respect of NV) or such other address within England and Wales as may be notified to the Party wishing to serve Lender by the Service DocumentBorrower and the Guarantor; or (B2) sent by first class post such other person as is appointed as agent for service pursuant to sub-clause 28.4 at the address specified above (in Clause 23.1, in respect of JohnsonDiversey, or in Clause 23.2 in respect of NV) or such other address within England and Wales as may be notified to the Party wishing to serve the Service Document. In the case of a Service Document served pursuant to Clause 23.3 (A), the Service Document will be deemed to have been duly served when it is left. In the case of a Service Document served pursuant to Clause 23.3 (B), the Service Document sub-clause 28.4. 28.3 Any document addressed in accordance with sub-clause 28.2 shall be deemed to have been duly served if:- (1) left at the specified address, when it is left; or (2) sent by first class post, two clear Business Days after the date of posting. 23.4 1.4 If the agent of JohnsonDiversey referred to in sub-clause 28.1 (or NV any replacement agent appointed pursuant to this sub-clause) at any time ceases for any reason to act as such, that Party the Borrower shall appoint a replacement agent to accept service having an address for service in England or Wales and shall notify the other Party Lender of the name and address of the replacement agent. Failing ; failing such appointment and notification, the other Party Lender shall be entitled by Notice notice to that Party the Borrower to appoint such a replacement agent to act on that Party’s the Borrowers' behalf. The provisions of this Clause 23 applying to service on an agent apply equally to service on a replacement agent. 23.5 A copy 1.6 Each party irrevocably consents to the service of process of any Service Document served on an agent shall be sent by post to JohnsonDiversey or NV as appropriate. Failure or delay in so doing shall not prejudice the effectiveness of service of the Service Documentcourts in Submitted States in any such action or Proceeding by the mailing of copies thereof by registered or certified mail, postage prepaid to the party's notice address specified above, such service to become effective upon receipt of evidence of the receipt thereof.

Agent for Service. 23.1 JohnsonDiversey 19.1 Each of GE, GECC and IGE irrevocably appoints JohnsonDiversey UK Ltd. of Pyramid Close, ▇▇▇▇▇▇ ▇▇▇▇▇▇ ▇▇▇▇▇▇, agrees that any Service Document may be sufficiently and effectively served on it in connection with Proceedings in England and Wales by service on its agent ▇▇▇▇▇▇▇▇▇▇▇▇ and May, ▇▇if no replacement agent has been appointed and notified to Genworth pursuant to clause 13, or on the replacement agent if one has been appointed and so notified. 19.2 Both Genworth and ▇▇▇▇ ▇▇▇▇▇▇▇, ▇▇▇ ▇▇▇, to be its agent for the receipt of service of process in England. It agrees irrevocably agree that any Service Document may be sufficiently and effectively served on it in connection with Proceedings in England and Wales by service on its agent, UK Group Holding Company Limited, if no replacement agent has been appointed and notified to GE pursuant to clause 13, or on the replacement agent if one has been appointed and so notified. 23.2 NV irrevocably appoints PLC to be its agent for the receipt of service of process in England. It agrees that any Service Document may be effectively served on it in connection with Proceedings in England and Wales by service on its agent. 23.3 19.3 Any Service Document served pursuant to clause 19.1 shall be marked for the attention of:- (i) Trusec Limited at ▇▇▇ ▇▇▇▇▇▇▇ ▇▇▇, ▇▇▇▇▇▇, ▇▇▇▇ ▇▇▇ or such other address within England or Wales as may be notified to Genworth pursuant to clause 13; or (ii) such other person as is appointed as agent for service pursuant to clause 19.1 at the address notified pursuant to clause 13. 19.4 Any Service Document served pursuant to clause 19.2 shall be marked for the attention of:- (i) ▇▇▇▇▇ ▇▇▇▇▇▇ at Vantage West, Great West Road, Middlesex TW8 9AG or such other address within England or Wales as may be notified to GE pursuant to clause 13; or (ii) such other person as is appointed as agent for service pursuant to clause 19.2 at the address notified pursuant to clause 13. 19.5 Any document addressed in accordance with clause 19.3 or 19.4 shall be deemed to have been duly served if:- (i) on JohnsonDiversey, if marked for the attention of the Managing Director of JohnsonDiversey UK Limited; and (ii) on NV, if marked for the attention of the Corporate Counsel at Unilever PLC; and in each case: (A) left at the address specified above (in Clause 23.1address, in respect of JohnsonDiversey, or in Clause 23.2 in respect of NV) or such other address within England and Wales as may be notified to the Party wishing to serve the Service Documentwhen it is left; or (Bii) sent by first class post to the address specified above (in Clause 23.1post, in respect of JohnsonDiversey, or in Clause 23.2 in respect of NV) or such other address within England and Wales as may be notified to the Party wishing to serve the Service Document. In the case of a Service Document served pursuant to Clause 23.3 (A), the Service Document will be deemed to have been duly served when it is left. In the case of a Service Document served pursuant to Clause 23.3 (B), the Service Document shall be deemed to have been duly served two clear Business Days after the date of posting. 23.4 19.6 If either of the agent of JohnsonDiversey agents referred to in clauses 19.1 and 19.2 (or NV any validly appointed replacement agent) at any time ceases for any reason to act as such, that Party GE (acting also on behalf of GECC and IGE), or Genworth (acting also on behalf of GEFA), as appropriate, shall appoint a replacement agent to accept service having an address for service in England or Wales and shall notify the other Party Genworth or GE, as appropriate, of the name and address of the replacement agent. Failing ; failing such appointment and notification, the other Party Genworth or GE, as appropriate, shall be entitled by Notice notice to that Party the other to appoint such a replacement agent to act on that Partythe other’s behalf. The provisions of this Clause 23 applying to service on an agent apply equally to service on a replacement agent. 23.5 A copy of any Service Document served on an agent shall be sent by post to JohnsonDiversey or NV as appropriate. It agrees that any Service Document may be sufficiently and effectively served on it in connection with Proceedings in England and Wales by service on its agent Trustee Limited, if no replacement agent has been appointed and notified to Genworth pursuant to clause 13, or on the replacement agent if one has been appointed and so notified. 19.2 Both Genworth and GEFA irrevocably agree that any Service Document may be sufficiently and effectively served on it in connection with Proceedings in England and Wales by service on its agent, UK Group Holding Company Limited, if no replacement agent has been appointed and notified to GE pursuant to clause 13, or on the replacement agent if one has been appointed and so notified. 23.2 NV irrevocably appoints PLC to be its agent for the receipt of service of process in England.
