Agent to Act. In case any one or more Events of Default shall ------------ occur and be continuing, the Agent may, and at the direction of the Required Lenders shall, proceed to protect and enforce their rights or remedies either by suit in equity or by action at law, or both, whether for the specific performance of any covenant, agreement or other provision contained herein or in any other Loan Document, or to enforce the payment of the Credit Obligations or any other legal or equitable right or remedy; provided, however, that the Agent may, without obtaining the direction or consent of the Required Lenders, take any such action described above in this section if, in the good faith judgment of the Agent, action is required to be taken in order to protect the interests of the Lenders prior to the time consent or approval of the Required Lenders can be obtained.
