AGENTS AND GLOBAL COORDINATING LEAD ARRANGERS. 23.1 Appointment and duties of the Agents 23.1.1 Each of: (a) the Senior Secured Creditors appoints the Intercreditor Agent; (b) the Hotel Facility Lenders appoints the Hotel Facility Agent; (c) the Project Facility Lenders appoints the Project Facility Agent; (d) the Revolving Credit Facility Lenders appoints the Revolving Credit Facility Agent; and (e) the Additional Lenders appoints the Additional Lender Agent, to act as its agent under and in connection with the Senior Finance Documents and irrevocably authorises it on its behalf to perform the duties and to exercise the rights, powers and discretions that are specifically delegated to it under or in connection with the Senior Finance Documents, together with any other incidental rights, powers and discretions. 23.1.2 None of the Agents may begin any legal action or proceeding in the name of a Senior Secured Creditor (other than itself) without that Senior Secured Creditor’s consent. 23.1.3 Each Agent has only those duties which are expressly specified in the Senior Finance Documents, and those duties are solely of a mechanical and administrative nature.
