Common use of Agreement and Conditions Clause in Contracts

Agreement and Conditions. On or prior to the Closing Date, the Seller shall have complied in all material respects with all of the covenants, agreements and conditions to be performed by it pursuant to the Acquisition Documents on or prior to the Closing Date.
