Agreement Execution. Upon execution of the Agreement, Adobe shall pay to ESPS eight hundred thousand dollars ($900,000), consisting of (a) four hundred thousand dollars ($400,000) as a refundable pre-payment of the License Fee, and (b) the non-refundable Royalty Advance of five hundred thousand dollars ($500,000).
