Common use of Agreement Not in Breach of Other Instruments Clause in Contracts

Agreement Not in Breach of Other Instruments. The execution and delivery of this Agreement and the Other Agreements, the consummation of the transactions contemplated hereby and thereby, and the fulfillment of the terms hereof and thereof will not result in a breach of any of the terms or provisions of, or constitute a default under, or conflict with, (a) any agreement, contract, commitment, permit, indenture or other instrument to which Shareholder is a party or by which Shareholder or his, her or its assets or the Shares are bound, including but not limited to any trust agreement or any agreement or instrument related thereto, or (b) any law, statute or regulation or any judgment, decree, order or award of any court, governmental body or arbitrator to which Shareholder or any of his, her or its assets or the Shares are subject.

Agreement Not in Breach of Other Instruments. The Neither the execution and delivery of this Agreement and the Other AgreementsAgreement, the consummation of the transactions contemplated hereby and thereby, and nor the fulfillment of the terms hereof and thereof will not result in a breach of any of the terms or provisions of, or constitute a default under, or conflict with, (ai) any material agreement, contract, commitment, permit, indenture or other instrument to which Shareholder Buyer is a party or by which Shareholder it is bound; (ii) Buyer's Articles of Incorporation or his, her or its assets or the Shares are bound, including but not limited to any trust agreement or any agreement or instrument related thereto, or Bylaws; (biii) any law, statute or regulation or any judgment, decree, order or award of any court, governmental body or arbitrator applicable to Buyer; or (iv) any law, rule or regulation applicable to Buyer, which Shareholder breach or any of his, her or default would prevent Buyer from performing its assets or the Shares are subjectobligations under this Agreement.

The execution and delivery of this Agreement by the Buyer and the Other Agreements, the consummation of the transactions contemplated hereby and thereby, and the fulfillment of the terms hereof and thereof will not result in a breach of any of the terms or and provisions of, or constitute a default (or an event which with notice or lapse of time or both would become a default) under, or conflict with, in any material respect (ai) any contract or any other material agreement, contract, commitment, permit, indenture or other instrument to which Shareholder the Buyer is a party or by which Shareholder it is bound; (ii) the by-laws or his, her or its assets or other organizational documents of the Shares are bound, including but not limited to any trust agreement or any agreement or instrument related thereto, or Buyer; (biii) any law, statute or regulation or any judgment, decree, order or award of any court, 13 governmental body or arbitrator arbitrator; or (iv) any material law, rule or regulation applicable to which Shareholder or any of his, her or its assets or the Shares are subjectBuyer.

Agreement Not in Breach of Other Instruments. The execution and delivery of this Agreement and the Other AgreementsAgreement, the consummation of the transactions contemplated hereby and therebyhereby, and the fulfillment of the terms hereof and thereof hereof, will not violate any provision of the articles of incorporation or by-laws of Buyer nor will they result in a the breach of any of the terms term or provisions provision of, or constitute a default under, or conflict with, (a) or cause the acceleration of any obligation under, any loan agreement, note, debenture, indenture, mortgage, deed of trust, lease, contract, commitment, permit, indenture agreement or other instrument obligation of any description to which Shareholder Buyer is a party or by which Shareholder or his, her or its assets or the Shares are either is bound, including but not limited to any trust agreement or any agreement or instrument related thereto, or (b) any law, statute or regulation or any judgment, decree, order order, or award of any court, governmental body or arbitrator to which Shareholder arbitrator, or any of hisapplicable law, her rule or its assets or the Shares are subjectregulation.

The execution and delivery of this Agreement and the Other AgreementsAgreement, the consummation of the transactions contemplated hereby and therebyhereby, and the fulfillment of the terms hereof and thereof hereof, will not violate any provision of the articles of incorporation or by-laws of Buyer nor will they result in a the breach of any of the terms term or provisions provision of, or constitute a default under, or conflict with, (a) or cause the acceleration of any obligation under, any loan agreement, note, debenture, indenture, mortgage, deed of trust, lease, contract, commitment, permit, indenture agreement or other instrument obligation of any description to which Shareholder Buyer is a party or by which Shareholder or his, her or its assets or the Shares are it is bound, including but not limited to any trust agreement or any agreement or instrument related thereto, or (b) any law, statute or regulation or any judgment, decree, order or award of any court, governmental body or arbitrator to which Shareholder 11 arbitrator, or any of hisapplicable law, her rule or its assets or the Shares are subjectregulation.
