Common use of Agreement to Develop Clause in Contracts

Agreement to Develop. Microline shall, in consideration of the payments to be made by TransEnterix pursuant to this Agreement, use commercially reasonable efforts to (i) design and develop an FSP Product, for use with the Robotic System, that is consistent with the Marketing Requirements Document and in accordance with the FSP Product Specification, (ii) deliver the Deliverables as set forth in the Work Plan, including the prototypes and Pilot Product Units, and (iii) otherwise comply with its obligations in the Work Plan and the Marketing Requirements Document.

Agreement to Develop. Microline shall, in consideration of the payments to be made by TransEnterix Transenterix pursuant to this Agreement, use commercially reasonable efforts to (i) design and develop an FSP Product, for use with the Robotic System, that is consistent FVS Product in accordance with the Marketing Requirements Document and in accordance with the FSP Product SpecificationDocument, (ii) deliver the Deliverables as set forth in the Work Plan, including the prototypes prototypes, Pre-Production Devices and Pilot Product Units, and (iii) otherwise comply with its obligations in the Work Plan and the Marketing Requirements Document.
