Agreement to Sell and Purchase the Shares; Subscription Date. At the Closing (as defined in Section 3), the Company will sell to the Investor, and the Investor will purchase from the Company, upon the terms and conditions hereinafter set forth, the Shares in satisfaction of the Company’s obligation to pay $1,500,000 pursuant to the Subsidy Invoice.
