Common use of Agreements Duly Authorized Clause in Contracts

Agreements Duly Authorized. The Company has full corporate power and authority to enter into this Agreement and all other agreements, documents, certificates and instruments required to be delivered pursuant to this Agreement. The Company has duly and validly authorized this Agreement and each of the transactions contemplated thereby. This Agreement has been duly authorized, executed and delivered by the Company and, assuming due authorization, execution an delivery by the Underwriter, constitutes a valid and binding agreement of the Company enforceable against the Company in accordance with the terms hereof, except as may be limited by applicable bankruptcy, insolvency, reorganization, moratorium or other similar laws relating to or affecting creditors’ rights generally or general equitable principles.
