Common use of Agreements Enforceable Clause in Contracts

Agreements Enforceable. This Agreement and the other Transaction Documents to which the Seller is a party constitute the legal, valid and binding obligation of the Seller enforceable against the Seller in accordance with their respective terms, except as such enforceability may be limited by (i) applicable Insolvency Laws and (ii) general principles of equity (whether considered as a suit at law or in equity) or implied covenants of good faith and fair dealing.

Agreements Enforceable.
