Allocation of Investments and Orders; Other Conflicts of Interest; Risk Factors. (a) The Client acknowledges and understands that the Manager and its affiliates engage in an investment management and advisory business and other businesses apart from providing the Services, including sponsoring, managing and/or advising certain investment funds, separate accounts and/or investment vehicles (the “Apollo Clients”). This may create potential conflicts of interest, including in relation to the Manager’s time devoted to providing the Services and the allocation of investment opportunities among Apollo Clients (including the Client) that the Manager manages and/or advises (the “AAME Clients”).
