Allocation of Nonrecourse Deductions Sample Clauses

The Allocation of Nonrecourse Deductions clause defines how tax deductions related to nonrecourse liabilities—debts for which no partner bears personal liability—are distributed among the partners in a partnership. Typically, these deductions are allocated in accordance with the partners' respective interests in the partnership or as specified in the partnership agreement, and they often arise from loans secured by partnership property. This clause ensures that the tax benefits from such deductions are fairly and transparently assigned, preventing disputes and aligning with IRS regulations.
