Amendment and Modification; Waiver of Compliance. (a) This Agreement may be amended only by a written instrument duly executed by the Company and the Principal Stockholders. (b) Except as otherwise provided in this Agreement, any failure of any of the parties to comply with any obligation, covenant, agreement or condition herein may be waived by the party entitled to the benefits thereof only by a written instrument signed by the party granting such waiver, but such waiver or failure to insist upon strict compliance with such obligation, covenant, agreement or condition shall not operate as a waiver of, or estoppel with respect to, any subsequent or other failure.

(a) This Agreement may not be amended only amended, modified, altered or supplemented except by means of a written instrument duly executed by on behalf of each of the Company Corporation and ULSE, and the Principal Stockholders. (b) Except as otherwise provided in this Agreement, any failure observance of any term of the parties to comply with any obligation, covenant, agreement or condition herein this Agreement may be waived by the party entitled to the benefits thereof (either generally or in a particular instance, and either retroactively or prospectively), only by a written instrument signed by the party granting such waiveror parties entitled to the benefits thereof, but such waiver or failure to insist upon strict compliance with such obligation, covenant, agreement or condition shall not operate as a waiver of, or estoppel with respect to, any subsequent or other failure.

(a) This Agreement may not be amended only amended, modified, altered or supplemented except by means of a written instrument duly executed on behalf of each of the parties hereto. For clarity, each Stockholder may without the consent of any other Person waive or terminate its respective rights to designate directors for nomination to the Board at any time by written notice to the Company and the Principal Stockholders. (b) Corporation. Except as otherwise provided in this Agreement, any failure of any of the parties to comply with any obligation, covenant, agreement or condition herein may be waived by the party or parties entitled to the benefits thereof only by a written instrument signed by the party or parties granting such waiver, but such waiver or failure to insist upon strict compliance with such obligation, covenant, agreement or condition shall not operate as a waiver of, or estoppel with respect to, any subsequent or other failure.

(a) 4.2.1 This Agreement may be amended only by a written instrument duly executed by the Company and Stockholders holding no less than 66 2/3% of the Principal StockholdersShares subject to this Agreement. (b) 4.2.2 Except as otherwise provided in this Agreement, any failure of any of the parties to comply with any obligation, covenant, agreement or condition herein may be waived by the party entitled to the benefits thereof only by a written instrument signed by the party granting such waiver, but such waiver or failure to insist upon strict compliance with such obligation, covenant, agreement or condition shall not operate as a waiver of, or estoppel with respect to, any subsequent or other failure.
