Common use of Amendment and Restatement of Existing Note Purchase Agreement Clause in Contracts

Amendment and Restatement of Existing Note Purchase Agreement. The Existing Note Purchase Agreement (including Exhibit A1, Exhibit A2 and Exhibit A3) is hereby amended and restated in full in the form attached hereto as Exhibit A. On the Effective Date, the Amended Note Purchase Agreement shall supercede and replace the Existing Note Purchase Agreement and the Existing Note Purchase Agreement will cease to be of further force and effect.
