AMENDMENT OF CONSTITUTION. Alterations in the Constitution may be made at any meeting of the Council. Notice of such proposed alteration must be in the hands of the Joint Secretaries at least 28 days before the date fixed for the meeting at which it is desired to have it considered, and shall be reported by them to each of the organisations at least 21 days before that date.
AMENDMENT OF CONSTITUTION. 15.1 This constitution may be amended or added to at any Annual or Special General Meeting, provided anym ember shall notify the Administrator or the Committee as such, so that any changes may be distributed at least twenty-one(21) days prior to the scheduled meeting.

(a) All previous delegations of Functions the subject of this Instrument be revoked.
(b) Pursuant to section 377 of the LG Act to delegate to the CEF Committee, authority to exercise and/or perform on behalf of the Council the Council's Functions specified in the CEF Constitution and confer authority to undertake any administrative actions necessary to carry out those Functions.
(c) These delegations and authorities are subject to, and are to be exercised in accordance with the requirements of the relevant Legislation and the CEF Constitution.
(d) This delegation is conditional upon: The delegation of authority by Upper Hunter Shire Council to the CEF Committee (the Upper Hunter Delegation") in terms identical to this delegation; The continuance in full force and effect of the Upper Hunter Delegation.
(e) These delegations and authorities are effective from the date of the Resolution of the Council and remain in force until amended or revoked by a resolution of the Council.
(f) In this delegation: • `CEF Committee' means the Community Enhancement Fund Committee established by resolution of Upper Hunter Shire Council to administer that part of the development contributions payable under a voluntary planning agreement for the Liverpool Range Wind Farm that are allocated to the Community Enhancement Fund;

Yew Grove shall procure that a resolution is put to the Yew Grove Shareholders at the EGM proposing that the Constitution be amended so that any Yew Grove Shares allotted prior to the Scheme Record Time (other than the Excluded Scheme Share) will be subject to the terms of the Scheme and any Yew Grove Shares allotted after the Scheme Record Time will be acquired by Bidco for the same consideration per Yew Grove Share as shall be payable to Yew Grove Shareholders by Bidco under the Scheme on the basis that such consideration shall become payable in respect of each Yew Grove Share within fourteen calendar days following the allotment of such Yew Grove Shares.

Dalata will procure that a resolution is put to the Dalata Shareholders at the EGM proposing that the Constitution be amended so that any Dalata Shares allotted prior to the Scheme Record Time will be subject to the terms of the Scheme and any Dalata Shares allotted after the Scheme Record Time will be acquired by Bidco for the same consideration per Dalata Share as shall be payable to Dalata Shareholders by Bidco under the Scheme on the basis that such consideration shall become payable in respect of each Dalata Share within fourteen calendar days following the allotment of such Dalata Share.
