Common use of Amendment of Exhibit Clause in Contracts

Amendment of Exhibit. Subsection 2.1(g) of Exhibit C to the Stock Purchase Agreement, the Assumption Agreement, shall be amended to read as follows: "any liability arising in connection with the termination of employment of any employee of the Company, Seller or Shareholder that arises prior to the Closing." The parties agree that all references in the Stock Purchase Agreement to Exhibit C shall refer to Exhibit C as so amended.
