Common use of Amendment of Memorandum Clause in Contracts

Amendment of Memorandum. Promptly upon the occurrence of any event which would cause the Memorandum to include during the Offering Period an untrue statement of a material fact or omit to state any material fact necessary to make the statements therein not misleading, the Company will promptly notify you of the event. The Company will within a reasonable period of time prepare and furnish to you such number of copies as you may request of an amendment or amendments of, or a supplement or supplements to, the Memorandum which will amend or supplement the Memorandum so that as amended or supplemented it shall not contain any untrue statement of a material fact or omit to state any material fact necessary to make the statements therein not misleading.
