Each proposed amendment that requires the approval of the holders of a specified percentage of Outstanding Units shall be set forth in a writing that contains submitting the text of the proposed amendment to all Record Holders in writing; or
(ii) by Record Holders owning at least ten percent (10%) of the total number of Units and Depositary Units then owned by all Record Holders, by submitting their proposed amendment in writing to the General Partner. The General Partner shall, within thirty (30) days after the receipt of any such proposed amendment, or as soon thereafter as is practicable, submit the text of the proposed amendment to all Record Holders. The General Partner may include in such submission its recommendation as to the proposed amendment.
(b) If such an amendment is proposedproposed pursuant to this Section 14.02, the General Partner shall seek the written approval consent of the requisite percentage of Outstanding Units Record Holders to such amendment or shall call a meeting of the Unitholders Record Holders to consider and vote on the proposed amendment, unless, in the opinion of counsel for the Partnership, such proposed amendmentamendment would be illegal under Delaware law if adopted, in which case the General Partner shall not be required to take any further action with respect thereto. A proposed amendment shall be effective only if approved by the General Partner in writing and by a Majority Interest, unless a greater percentage vote of the Record Holders is required by law or this Agreement. (ii) by Record Holders owning at least ten percent (10%) of the total number of Units and Depositary Units then owned by all Record Holders, by submitting their proposed amendment in writing to the General Partner. The General Partner shall, within thirty (30) days after the receipt of any such proposed amendment, or as soon thereafter as is practicable, submit the text of the proposed amendment to all Record Holders. The General Partner may include in such submission its recommendation as to the proposed amendment.
(b) If such an amendment is proposedproposed pursuant to this Section 14.02, the General Partner shall seek the written approval consent of the requisite percentage of Outstanding Units Record Holders to such amendment or shall call a meeting of the Unitholders Record Holders to consider and vote on the proposed amendment, unless, in the opinion of counsel for the Partnership, such proposed amendmentamendment would be illegal under Delaware law if adopted, in which case the General Partner shall not be required to take any further action with respect thereto. Amendment Procedures. Amendments Except as provided in Sections 17.1 and 17.3, all amendments to this Agreement shall be made in accordance with the following procedures:
17.2.1. amendments to this Agreement may only be proposed only by or with the consent of the General Partner. To the fullest extent permitted by law, provided that the General Partner shall have no duty or obligation to propose or approve any amendment to this Agreement and may decline to do so free of any fiduciary duty or obligation whatsoever to the Partnership, Partnership or any Limited Partner or any other Person bound by this Agreement, and, in declining to propose or approve consent to an amendment to this Agreement, to the fullest extent permitted by law Law, shall not be required to act in good faith or pursuant to any other standard imposed by this Agreement, any Group Member Agreement, any other agreement contemplated hereby or under the Delaware Limited Partnership Act or the Exempted Partnerships Act or any other law, rule or regulation Law or at equity;
17.2.2. subject to the terms of any Preferred Units then Outstanding, and the General Partner in determining whether to propose or approve any a proposed amendment to this Agreement shall be permitted to do so in its sole and absolute discretion. An amendment to this Agreement shall be effective upon its approval by the General Partner and, except as otherwise provided where required under this Agreement or by Section 13.1 the Limited Partnership Act, on the consent, vote or Section 13.3, approval of the amendment by the holders of a Unit Majority, unless a greater or different percentage at least 662⁄3% of the voting power of the Outstanding Units is required under this AgreementEquity Units; and
17.2.3. Each each proposed amendment that requires the approval of the holders of a specified percentage of Outstanding Equity Units shall be set forth in a writing that contains the text of the proposed amendment. If such an amendment is proposed, the General Partner shall seek the written approval of the requisite percentage of Outstanding Equity Units or call a meeting of the Equity Unitholders to consider and vote on such proposed amendment. The General Partner shall notify all Record Holders upon final adoption of any amendments. The General Partner shall be deemed to have notified all Record Holders as required by this Section 13.2 if it has posted or made accessible such amendment through the Partnership’s or the Commission’s website.

A proposed amendment shall be effective upon its approval by the holders of at least 66 2/3% of the Outstanding Units unless a greater or different percentage is required under this Agreement; provided that, in addition to such approval, if the effect of any amendment would have a material adverse effect, as determined in the sole discretion of the General Partner, on the rights or preferences of any class of Outstanding Units in relation to any other class of Outstanding Units, the approval of the holders of at least a majority of the Outstanding Units of the class so affected, voting separately as a class, shall be required to adopt such amendment (excluding for purposes of such determination, in the case of a vote of the Record Holders of I-Units, the number of I-Units that equal the number of Listed Shares and Voting Shares owned by the General Partner and its Affiliates). (b) In addition to any other vote that may be required under the terms of this Agreement, and without limitation of the General Partner's authority to adopt amendments to this Agreement as contemplated in Section 15.1, any amendments to Section 5.10(d) shall require the approval of a majority of the Outstanding I-Units, voting as a separate class (excluding for purposes of such determination the number of I-Units that equals the number of Listed Shares and Voting Shares owned by the General Partner shall be deemed to have notified all Record Holders as required by this Section 13.2 if it has posted or made accessible such amendment through the Partnership’s or the Commission’s websiteand its Affiliates).
