Amendment to Existing Agreement. Effective as of the date of the Termination Date (as defined in the Existing Agreement without giving effect to this Amendment and Restatement, the "Current Termination Date")) and subject to the satisfaction of the conditions precedent set forth in Section 2 hereof, the Existing Agreement is hereby amended as follows: (a) By adding the following new definition in the appropriate alphabetical order:
