Common use of Amendment to the Plan Clause in Contracts

Amendment to the Plan. The Board may terminate, amend, or modify the Plan; provided, however, that no such termination, amendment, or modification of the Plan may in any way adversely affect your rights under this Award Agreement, without your written approval or cause the settlement of any portion of your award that is considered deferred compensation subject to Section 409A of the IRS Code to be accelerated unless such acceleration does not result in penalties under Section 409A of the IRS Code.
