Common use of Amendments and Change Notices Clause in Contracts

Amendments and Change Notices. 8.1.1 The Board or Chief Executive Officer or designee may require the addition and/or change of certain terms and conditions in this Master Agreement during the Term of this Master Agreement. The County reserves the right to add and/or change such provisions as required by the Board or Chief Executive Officer. To implement such orders, an Amendment to this Master Agreement must be prepared and executed by Contractor and by the Sheriff or designee. 8.1.2 For any change which materially affects the scope of Work, Term, price, payments, or any other term or condition of this Master Agreement, an Amendment to this Master Agreement must be executed by Contractor and the Board. 8.1.3 For any change which does not materially affect the scope of Work, Term, price, payments, or any other term or condition of this Master Agreement, a Change Notice to this Master Agreement must be executed by the County Project Director and Contractor Project Manager. 8.1.4 Notwithstanding Paragraphs 8.1.1 through 8.1.4 above, for: a) any option Term extension of the Master Agreement and b) modifications pursuant to Paragraph 8.2 (Assignment and Delegation) below of this Master Agreement, an Amendment to this Master Agreement must be executed by Contractor and the Sheriff or his designee.
