Common use of Amendments to Certain Documents Clause in Contracts

Amendments to Certain Documents. (i) The Seller shall not amend, supplement, amend and restate, or otherwise modify the Purchase and Sale Agreement, the Company Note, any other document executed under the Purchase and Sale Agreement, the Deposit Account Agreements or the Seller's articles of incorporation or by-laws, except (A) in accordance with the terms of such document, instrument or agreement and (B) with the prior written consent of the Control Party (or if the Control Party is the Majority Purchasers, the Agent). (ii) The Originator shall not enter into or otherwise become bound by, any agreement, instrument, document or other arrangement that restricts its right to amend, supplement, amend and restate or otherwise modify, or to extend or renew, or to waive any right under, this Agreement or any other Transaction Document.

(i) The Seller shall not amend, supplement, amend and restate, or otherwise modify the Purchase and Sale Contribution Agreement, the Company NoteNotes, any other document executed under the Purchase and Sale Contribution Agreement, the Deposit Collection Account Agreements Agreement, the Lock-Box Agreements, the Liquidation Account Agreement or the Seller's articles certificate of incorporation or by-laws, except (A) in accordance with the terms of such document, instrument or agreement and (B) with the prior advance written consent of the Control Party (or if the Control Party is the Majority Purchasers, the Agent). (ii) The Originator Seller shall not, and shall not permit any Originator to enter into or otherwise become bound by, any agreement, instrument, document or other arrangement that restricts its right to amend, supplement, amend and restate or otherwise modify, or to extend or renew, or to waive any right under, this Agreement or any other Transaction Document.

(ii) The Originator Seller shall not, and shall not permit the Originator to enter into or otherwise become bound by, any agreement, instrument, document or other arrangement that restricts its right to amend, supplement, amend and restate or otherwise modify, or to extend or renew, or to waive any right under, this Agreement or any other Transaction Document.

(i) The Seller Borrower shall not amend, supplement, amend and restate, or otherwise modify the Purchase and Sale Agreement, the Company Borrower Note, any other document executed under pursuant to the Purchase and Sale Agreement, the Deposit Collection Account Agreements Agreement, the Lock-Box Agreements, the Liquidation Account Agreement or the SellerBorrower's articles certificate of incorporation or by-laws, except (A) in accordance with the terms of such document, instrument or agreement and (B) with the prior written consent of the Control Party (or if the Control Party is the Majority Purchasers, the Administrative Agent). (ii) The Originator Borrower shall not enter into or otherwise become bound by, by any agreement, instrument, document or other arrangement that restricts its right to amend, supplement, amend and restate or otherwise modify, or to extend or renew, or to waive any right under, this Agreement or any other Transaction Loan Document.
