Common use of Amendments to Security Documents Clause in Contracts

Amendments to Security Documents. (a) Without the prior written consent of the Credit Agreement Collateral Agent, each Additional Pari Secured Party agrees that no Additional Pari Security Document may be amended, restated, amended and restated, supplemented or otherwise modified or entered into to the extent such amendment, restatement, amendment and restatement, supplement or modification, or the terms of any new Additional Pari Security Document would contravene any of the terms of this Agreement. (b) Without the prior written consent of the Additional Pari Collateral Agent, the Credit Agreement Collateral Agent agrees that no Credit Agreement Collateral Document may be amended, restated, amended and restated, supplemented or otherwise modified or entered into to the extent such amendment, restatement, amendment and restatement, supplement or modification, or the terms of any new Credit Agreement Collateral Document would contravene any of the terms of this Agreement. (c) In making determinations required by this Section 2.11, each Collateral Agent may conclusively rely on a certificate of an Authorized Officer of the Borrower Representative.

(c) In making determinations required by this Section 2.11, each Collateral Agent may conclusively rely on a certificate of an Authorized Officer of the Borrower RepresentativeBorrower.

(b) Without the prior written consent of the Additional Pari First Lien Collateral Agent, the Credit Agreement Collateral Agent agrees that no Credit Agreement Collateral Document may be amended, restated, amended and restated, supplemented or otherwise modified or entered into to the extent such amendment, restatement, amendment and restatement, supplement or modification, or the terms of any new Credit Agreement Collateral Document would contravene be prohibited by any of the terms of this Agreement. (c) In making determinations required by this Section 2.112.10, each Collateral Agent may conclusively rely on a certificate of an Authorized a Responsible Officer of the Borrower RepresentativeBorrowers stating that such amendment is permitted by Sections 2.10(a) or (b) as the case may be.

(b) Without the prior written consent of the Additional Pari First Lien Collateral Agent, the First Lien Credit Agreement Collateral Agent agrees that no First Lien Credit Agreement Collateral Document may be amended, restated, amended and restated, supplemented or otherwise modified or entered into to the extent such amendment, restatement, amendment and restatement, supplement or modification, or the terms of any new First Lien Credit Agreement Collateral Document would contravene be prohibited by any of the terms of this Agreement. (c) In making determinations required by this Section 2.112.10, each Collateral Agent may conclusively rely on a certificate of an Authorized a Responsible Officer of the Borrower Representativestating that such amendment is permitted by Sections 2.10(a) or (b), as the case may be.
