Amendments to the. Agreement The Agreement may be amended by the mutual agreement of the Parties except for the cases when the Agreement provides for possibility to introduce such amendments unilaterally. If the relevant government authorities of the Territory suspend, withdraw, or cancel any of the Marketing Authorization(s) for any reason whatsoever, the SELLER and the DISTRIBUTOR shall discuss in good faith upon the necessary amendments to the terms and conditions of this Agreement in connection with the concerned Product(s), unless the SELLER decides to withdraw the concerned Product(s) from the scope of this Agreement immediately upon written notice to the DISTRIBUTOR without any indemnity being due to the DISTRIBUTOR.
