ANY SUCH AMENDMENT, CONSENT, OR WAIVER WILL BE EFFECTIVE ONLY IN THE SPECIFIC INSTANCE AND FOR THE SPECIFIC PURPOSE GIVEN. CONSULTANT, BY THE SIGNATURE BELOW OF ITS AUTHORIZED REPRESENTATIVE, ACKNOWLEDGES HAVING READ AND UNDERSTOOD THIS RESERVE CONTRACT AND AGREES TO BE BOUND BY ITS TERMS AND CONDITIONS.
AND COUNTERPARTS. 33.1 This Agreement shall be valid, binding and enforceable against a party only when executed by an authorised individual on behalf of the party by means of:
(a) a DocuSign® or other electronic signature;
(b) an original, manual signature; or
(c) a faxed, scanned or photocopied manual signature, and each DocuSign® or other electronic, faxed, scanned or photocopied manual signature shall for all purposes have the same validity, legal effect and admissibility in evidence as an original manual signature and the parties hereby waive any objection to the contrary. This Agreement may be entered into in the form of any number of counterparts, each executed by one or more of the parties, all of which taken together shall constitute one and the same instrument.

The Agreement may be executed in multiple counterparts, which taken together shall constitute an original without the necessity of all parties signing the same page or the same documents, and may be executed by signatures to electronically or telephonically transmitted counterparts in lieu of original printed or photocopied documents. Both parties agree and acknowledge that the terms of any sales orders, invoices, confirming memoranda, standard business form or other similar writing issued after the date of this Agreement shall be governed by this Agreement and shall not modify the terms hereof unless expressly agreed to in writing by the parties hereto.
