AND OTHER RESTRICTIONS. (a) The Shares granted hereunder shall vest in accordance with the following schedule: Portion of Shares Date Which are Vested ---- ---------------- February 2, 2008* 100% (b) The Shares are hereby awarded to Grantee on the condition that he remain in the employment of the Company for the period ending February 2, 2008* (the "Restricted Period"), subject to the terms hereof. (c) Notwithstanding anything to the contrary herein contained, the Restricted Stock shall be deemed earned, vested and nonforfeitable prior to the expiration of the Restricted Period on the terms and conditions set forth in the Employment Agreement. (d) Upon Shares becoming vested hereunder, the Escrow Agent of the Company shall deliver to the Grantee one or more certificates representing such vested Shares.
