Common use of Annual Audited Statements Clause in Contracts

Annual Audited Statements. The audited balance sheet of the Borrower and its Subsidiaries as of December 31, 2005, and the related audited consolidated statements of income, shareholders’ equity and cash flows for the year then ended, copies of which have previously been furnished to the Administrative Agent, and all audited financial statements hereafter delivered to the Administrative Agent or Lenders pursuant to Section 7.01(a) have been certified in conformity with the requirements of Section 7.01(a) and present fairly the consolidated financial condition of the Borrower and its Subsidiaries as at the date thereof and the consolidated results of their operations and their cash flows for the year then ended in conformity with GAAP.
