Annual Commitment. The Santa ▇▇▇▇▇▇ Surf commitment is for our soccer calendar year. Depending on the age level, it is from April or May through State/National Cup the following winter or spring. At the younger age groups, we will always finish the calendar year with an open tryout. This tryout will identify and evaluate the talent for the following soccer season. We do not place players for the following season until we have completed the open tryouts. In the event your team qualifies for regional or national competition, we expect you to fulfill your commitment to your team through the end of that competition regardless of your status with the club for the following season. No player will be cut from a team during a soccer season unless it is for disciplinary reasons. In addition, the club can suspend your training at any time if such action is necessary to enforce the fulfillment financial obligations.

Annual Commitment. If the Order specifies an annual commitment, the Test Studio Product Paid License granted to you in section 4.D.2.1 is a 12-month subscription License and is valid during each month for which you have paid the applicable fees. If the Order specifies an annual commitment you are committing to the payment of the subscription License fees in equal monthly instalments over a period of 12 months. You must provide a valid credit card in connection with any annual commitment. Your credit card will be charged the fees stated at the time of purchase plus any applicable taxes each month during your subscription period. Prices are valid for each 12-month term for which they are quoted in the Order and may change at the end of the last 12-month term quoted in the Order. The plan will start as soon as your credit card is successfully charged and will automatically renew unless you disable the automatic renewal in Your Account. You have the right to cancel your subscription at any time by contacting ▇▇▇▇▇@▇▇▇▇▇▇▇.▇▇▇, at which point, your access to the Test Studio Product will be disabled. You are solely responsible for properly cancelling your subscription. An email or phone request to cancel your subscription is not considered cancelled until explicitly confirmed by us. If you cancel before the end of your active 12-month subscription period, your cancellation will take effect immediately, however, you will not be relieved of your payment obligations for any time remaining in the subscription period. Termination by us for failure to pay applicable subscription License fees or for any other reason in accordance with the terms of this ▇▇▇▇ or cancellation or termination by you will result in the deactivation of the Test Studio Product.

About shall use its reasonable efforts to use a minimum of $2,800,000 of the Commitment in calendar year 2000 including a minimum of $500,000 of banner advertisements on ▇▇▇▇▇▇▇.▇▇▇ and the Pro Football Weekly web site and other PRIMEDIA web sites. Of the remaining amount of the Commitment, About shall use $6,800,000 in the first quarter 2001 and the rest over the course of the Term as agreed to by the parties. About shall use the Promotional Services to promote and advertise its own products and services and shall not rent, resell or otherwise transfer to any third party any portion of the Promotional Services.

Annual Commitment. Subject to the provisions herein, beginning on January 1, 2002 and continuing through December 31, 2005 (the "Term"), About agrees to purchase and PRIMEDIA agrees to sell and make available to About an aggregate of $57,600,000 of Promotional Services (the "Commitment"). About shall use $14,400,000 of such Promotional Services in each of the calendar years 2002 through 2005 (the "Annual Commitment"). About shall use the Promotional Services to promote and advertise its own products and services and shall not rent, resell or otherwise transfer to any third party any portion of the Promotional Services. In the event that About does not meet its Annual Commitment in any year, up to $2 million of the Annual Commitment may be carried over to the next year.

Annual Commitment. (a) Conditional upon Ardelyx’s timely payments as required in accordance with the Equipment Agreement and beginning in Year 2024, subject to Sections 6.3 and 6.5 and the other terms of this Agreement, Ardelyx will place Purchase Orders (as defined below) in accordance with Section 5.2 for, and Hovione will manufacture for Ardelyx, Product for delivery by the scheduled Delivery Dates specified in the accepted Purchase Order in accordance with this Agreement, in the following minimum quantities (the “Annual Commitment”): 2024 [***] 2025 [***] 2026 [***] 2027 [***] 2028 to end of the Term [***] For the avoidance of doubt, the Delivery Dates set out in the relevant Purchase Orders shall be the applicable dates for determination of Ardelyx’s satisfaction of the Annual Commitment. (b) The Annual Commitment may be adjusted by mutual agreement of the Parties pursuant to Section 2.6 below. For clarity, in the event of failure to order the Annual Commitment absent Supply Failure, Adverse Supply Events (subject to the applicable limitations of Section 6.5.3), or mutually agreed Manufacturing reductions, Hovione may on December 31st of the relevant Year charge Ardelyx the respective shortfall between the Annual Commitment for such Year and the orders for Product actually placed by Ardelyx and with the Delivery Dates (set out in the relevant Purchase Orders) in such Year. (c) Subject to the terms of the Equipment Agreement, until the Scale-Up (defined below) is completed, and notwithstanding anything to the contrary herein, the Parties’ Annual Commitment obligation shall remain at [***] until completion of Scale-Up, at which time [***].

Annual Commitment. For each daytime serial, the Company shall expend no less than $32,500 per annum for covered musical services at the minimum scale set forth below, provided: (a) That where an Instrumentalist or Instrumentalists had been used during the prior Agreement, the annual cost of musical services covered by this Agreement on such series will not be reduced during the term hereof, and (b) That on shows scored under the 1974-76 Agreement, the annual commitment will be equal to the first year’s Musicians scoring cost if greater than $32,500, unless, in either case, the show terminates before the end of the term of this Agreement. (We shall furnish the Federation with said costs, if any.)

Annual Commitment. You understand that by enrolling in the Program you are making a commitment for one (1) year irrespective of whether you have chosen to pay the Fee pursuant to a semi-annual or quarterly payment plan. Therefore, you agree that you are responsible for the payment of the full annual Fee, and that the Fee paid by you (or any portions thereof) are non-refundable. Premier reserves the right to cancel this Agreement, at any time, and return back to you a pro-rated refund of your pre-paid Fee.

Annual Commitment. During the Term of this Agreement the Consultant agrees to provide the services of the Manager for forty-eight (48) weeks in each year to be mutually agreed between the Company and the Consultant. If the Manager works for more than forty-eight (48) weeks in any calendar year, the Consultant may at its sole discretion accept on behalf of the Manager a cash payout equal to the fee that would be payable for those days.
