(b) Said PEG Access funding shall commence accruing on March 1, 2005 for the period the period of March 1 to March 31, 2005 and due May 15, 2005. PEG Access funding shall be paid on a quarterly basis for the first three (3) years and thereafter on a semi-annual basis by the Licensee as follows: Due Date – 2005 to 2008 Quarter May 15th January 1 - March 31 August 15th April 1 - June 30 November 15th July 1 - September 30 February 15th October 1 - December 31 Due Date – 2008 to 2014 Time Period August 15th January 1 - June 30 February 15th July 1 - December 31 The final payment is due for the period July 1, 2014 to expiration forty-five (45) days after expiration. (c) On or before Sixty (60) days from the Effective Date of this Renewal License, the Licensee shall make a one-time advanced PEG Access payment in the amount of Twenty Thousand Dollars ($20,000) to the Issuing Authority or its designee(s). This payment will be credited against future PEG Access payments as follows: Six Thousand, Six Hundred Sixty Six Dollars ($6,666) against the quarterly payment due on August 15, 2005, Six Thousand, Six Hundred Sixty Six Dollars ($6,666) against the quarterly payment due on November 15, 2005, Six Thousand, Six Hundred Sixty Seven Dollars ($6,667) against the quarterly payment due on February 15, 2006. (d) There shall be no charge to the Town, its PEG Access designee(s) or PEG Access Users for said PEG Access annual funding. (e) The Licensee shall file with each of the payments pursuant to paragraphs (c) above a statement certified by a duly authorized financial representative of the Licensee documenting, in reasonable detail, the total Gross Annual Revenue as defined in Section 1.1(20). (f) In the event that the payments required herein are not tendered on or before the dates fixed herein, interest due on such payments accrue from thirty (30) days past the date due at two percent (2%) above the Prime Rate.
- - -ANNUAL SUPPORT FOR PEG ACCESS. (a) The Licensee shall provide funding to the Access Corporation for PEG Access purposes equal to three and one-half percent (3.5%) of the Licensee's Gross Annual Revenues, as defined in Section 1.1(24) supra, payable on a quarterly basis. (b) The first payment to the Access Corporation shall be for the period from the Execution Date of this Renewal License through the last day of the first calendar quarter of 2004 and shall constitute three and one-half percent (3.5%) of the Licensee's Gross Annual Revenues for said period, payable as follows: The Licensee shall make a one-time, advance payment in the amount of Twenty Thousand Dollars ($20,000.00) to the Access Corporation no later than forty-five (45) days of the Execution Date of this Renewal License. The Licensee’s second calendar quarterly payment, for the second quarter of 2004, shall be due and payable no later than forty-five (45) days after the end of said second quarter. As part of said second quarterly payment, the Licensee shall include a “true-up” of the first quarterly payment, based upon the actual first quarter Gross Annual Revenues. (c) The Licensee's three and one-half percent (3.5%) payments to the Access Corporation shall thereafter continue to be made on a calendar quarterly basis, no later than forty-five (45) days after the end of each said quarter, for the entire term of this Renewal License. (d) The last quarterly payment to the Access Corporation shall cover the period of January and February 2014 and up to and including March 7, 2014, and shall be made no later than April 22, 2014. (e) The Licensee shall file with each of said three and one-half percent (3.5%) quarterly payments a statement certified by an authorized representative of the Licensee documenting, in reasonable detail, the total of all Gross Annual Revenues of the Licensee during the preceding three (3) month reporting period(s), as well as a completed Gross Annual Revenues Reporting Form, attached hereto as Exhibit 4. If the Licensee's quarterly payments to the Access Corporation were less than three and one-half percent (3.5%) of the Licensee’s Gross Annual Revenues for the reporting period, the Licensee shall pay any balance due to the Access Corporation no later than its subsequent quarterly payment. Said statement shall list all of the general categories comprising Gross Annual Revenues as defined in Section 1.1(24) supra. - - -ANNUAL SUPPORT FOR PEG ACCESS. (a) The Licensee shall provide annual franchise fee payments to the Issuing Authority on behalf of the Access Corporation for PEG Access purposes in an amount equal to four percent (4%) of the Licensee's Gross Annual Revenues less applicable franchise and license fee payments to the Town and State. Said annual PEG Access payments shall be used for, among other things, salary, operating and other related expenses connected with Medway PEG Access Programming and operations. Such PEG Access payments shall be considered as part of the Licensee's franchise fee commitments and shall be included in the franchise fee for purposes of any applicable federal limitation on franchise fees. (b) Said annual four percent (4%) PEG Access support payment shall be made to the Issuing Authority on behalf of the Access Corporation annually. The first payment shall be remitted on May 31, 1999; and shall be based on the Gross Annual Revenues beginning on the Renewal License Effective Date and ending on the last day of February 1999. The following annual payments shall be remitted no later than May 31st of each year, during this Renewal License; and based on the period beginning on the previous year’s March 1st and ending on the following last day of February. The final payment shall be remitted on May 31, 2007 based on the period beginning March 1, 2006 and ending on February 22, 2007. (c) Consistent with Section 622(h) of the Cable Act, any Person, including a Leased Access User (pursuant to Section 612 of the Cable Act), who or which distributes any Cable Service over the Medway Cable System for which charges are assessed to Subscribers but not received by the Licensee, shall pay the Issuing Authority on behalf of the Access Corporation an amount equal to four percent (4%) of such Person's Gross Annual Revenues, as a PEG Access payment, pursuant to Section 5.2(a) herein. If the Licensee collects revenues from Medway Subscribers for said Person, then the Licensee shall collect said four percent (4%) PEG Access payment on the Gross Annual Revenues of said Person and shall pay said amounts to the Issuing Authority on behalf of the Access Corporation along with the Licensee's four percent (4%) PEG Access payments pursuant to Section 5.2(a) herein. - - -ANNUAL SUPPORT FOR PEG ACCESS. (a) For Years One through Five of the Final License, the Licensee shall provide an annual payment to the Issuing Authority, or if the Issuing Authority shall so designate and apportion, to an Access Corporation (pursuant to Section 6.9), for PEG Access and related purposes, equal to five percent (5%) of the Licensee's Gross Annual Revenues, 1300 1305 1310 1315 1320 1325 1330 1335 1340 1345 as defined herein, or a minimum of Fifty Thousand Dollars ($50,000.00), whichever amount is greater. Along with such statement, the Licensee shall also complete and submit the Gross Annual Revenues Reporting Form, attached hereto as Exhibit 6. Payments for Years Two through Nine, inclusive, shall be made within thirty (30) days of the end of each respective year. (b) At the end of Year Five of the Final License, the Issuing Authority and the Licensee shall conduct an accounting of the amounts, pursuant to paragraph (a) above, paid to the Issuing Authority, in order to determine the actual amount that the Issuing Authority would have received from the Licensee had the Licensee’s payments to the Issuing Authority been five percent (5%) of its Gross Annual Revenues. In the event that the Licensee has paid the Issuing Authority in excess of five percent (5%) of its Gross Annual Revenues for Year One through the end of Year Five, any excess amount above five percent (5%) for said years will be averaged over the remaining Final License term and credited against the five percent (5%) Gross Annual Revenues payments made to the Issuing Authority at the end of Year Six through the end of Year Ten. The second payment to the City and/or the Access Corporation shall be made on January 31, 1998, and shall constitute 4.125% of the Licensee's Gross Annual Revenue for the period from July 1, 1997 through December 31, 1997.   • Technical Support State Street will provide technical support to assist the Fund in using the System and the Data Access Services. The total amount of technical support provided by State Street shall not exceed 10 resource days per year. State Street shall provide such additional technical support as is expressly set forth in the fee schedule in effect from time to time between the parties (the “Fee Schedule”). Technical support, including during installation and testing, is subject to the fees and other terms set forth in the Fee Schedule.
