Any other decisions. All reasonable efforts shall be taken to ensure that the decisions of the Steering Committee are taken on the basis of a consensus. However, where consensus on an issue cannot be achieved in the course of a meeting of the Steering Committee, a call for an indicative vote may be made by the Steering Committee Chair or by a Quorum. If the indicative vote indicates a favourable outcome (in accordance with a requirement for a two-thirds majority) but a consensus is nonetheless not achieved, a call for a deciding vote may be made by a Quorum to be held at the following meeting of the Steering Committee. At such second meeting, the adoption of a decision shall be made in accordance with the Voting Procedures. At such second meeting, the adoption of a decision shall require: a. a Quorum (as defined in Annex F); b. compliance with the Voting Procedures; c. the agreement of at least a two thirds majority (66%) of the Quorum.

  • Other Committees The Board of Directors may, from time to time, appoint such other committees as may be permitted by law. Such other committees appointed by the Board of Directors shall consist of one (1) or more members of the Board of Directors and shall have such powers and perform such duties as may be prescribed by the resolution or resolutions creating such committees, but in no event shall any such committee have the powers denied to the Executive Committee in these Bylaws.
