App Representations and Warranties. 7.1 APP represents and warrants to ABI that, as of the date of this Agreement, none of the executive officers of APP has any knowledge that any of ABI's representations and warranties are inaccurate. For purposes of this Section 7.1, the knowledge of ▇▇▇▇▇▇▇ Soon-Shiong shall be imputed to ABI rather ----------- than to APP. 7.2 APP acknowledges and agrees that none of APP or its Affiliates has or claims to have ownership or license rights to the Technology or Product except as set forth in this Agreement. APP agrees that neither ABI nor any third party has promised, offered or conveyed to APP any interest in the Technology or Product except as set forth in this Agreement and the Manufacturing Agreement.
