Common use of Apparent Authority Clause in Contracts

Apparent Authority. The Company acknowledges the authority granted to the Agent by the Lenders and shall be permitted to rely exclusively, without further investigation, upon the representations, consents, waivers and all other actions taken by the Agent. The Company, for itself and its affiliates and their successors and assigns, hereby acknowledges that at all times prior to the execution and delivery by the Agent of this Agreement, the Company has accepted and relied upon, and will continue to accept and rely upon the actual and apparent authority of the Agent acting alone and without further authorization from the Lenders or any of them, with respect to any or all of the rights, powers, authority or remedies granted or reserved to the Agent or the Lenders, the Loan Documents, or the Notes or any of them. The Company acknowledges and agrees that the Agent has all right and apparent and actual authority to exercise alone the rights, powers, and remedies granted or reserved to the Agent or the Lenders under this Agreement, the Notes and the Loan Documents without further evidence of such authority or confirmation thereof from or by any Lender.
