Common use of Appointment and Authorisation Clause in Contracts

Appointment and Authorisation. Each Lender hereby irrevocably (except for a removal under Clause 21.15 (Resignation)) appoints the Agent to act as its agent in connection with the administration of the Facility under the Financing Documents, and irrevocably (except for a removal under Clause 21.15 (Resignation)) authorises the Agent, to take such action and to exercise and carry out such rights, discretions, authorities, powers and duties as are specifically delegated to the Agent in this Agreement, in the Shareholders’ Undertaking Agreement and the Security Agreements together with such rights, discretions, authorities, powers and duties as are reasonably incidental thereto, in particular the communication with the Guarantor, provided that the Agent will not commence any legal action or proceedings on behalf of any Lender without such Lenders’ consent.
