Common use of Appointment and Powers of Executive Committee Clause in Contracts

Appointment and Powers of Executive Committee. The board may, by resolution, appoint an executive committee consisting of the director or directors that they consider appropriate, and during the intervals between meetings of the board all of the board's powers are delegated to the executive committee, except: (1) the power to fill vacancies in the board of directors; (2) the power to remove a director; (3) the power to change the membership of, or fill vacancies in, any committee of the board; and (4) such other powers, if any, as may be set out in the resolution or any subsequent directors' resolution.
