APPOINTMENT OF ADDITIONAL DIRECTORS. Subject to the EAC membership requirements in ORS 342.940 and 342.943, a majority of the Board may propose to increase or decrease the number of Directors at any time. Any new Directors proposed under this Article 3, section 4.d shall be subject to the applicable quorum, voting, and appointment processes in Article 3. i) If the Board increases the number of Directors, the Board may select a new Rotating Director or a non-voting, ex-officio Director (“Ex-Officio Director”) to fill that new seat.
