APPOINTMENT OF AGENTS AND THE DEPOSITORY. (a) The Company hereby appoints, or confirms the appointment of, The Bank of New York as the initial Trustee, Securities Registrar and Paying Agent with respect to the Notes, subject to the provisions of the Original Indenture with respect to resignation, removal and succession, and subject, further, to the right of the Company to appoint additional agents (including Paying Agents). (b) The Depository Trust Company (or its nominee) shall act as the initial Depository (the "Depository") for any Global Note which may be issued pursuant to this ________ Supplemental Indenture.
