Escrow Agent hereby accepts such appointment and, upon receipt by wire transfer of the Escrow Funds Shares and Stock Powers in accordance with Section 3 below, agrees to hold, invest invest, disburse and disburse release the Escrow Funds Property in accordance with this Escrow Agreement.

Escrow Agent hereby accepts such appointment and, upon receipt of the Escrow Funds, by wire transfer of the Escrow Funds immediately available funds in accordance with Section 3 below, agrees to hold, invest and disburse the Escrow Funds in accordance with this Agreement.

Appointment of and Acceptance by Escrow Agent. The Investor(s) Holdco and the Company hereby appoint Escrow Agent to serve as Escrow Agent escrow agent hereunder. Escrow Agent hereby accepts such appointment and, upon receipt of the Escrow Property, by (i) wire transfer of immediately available funds and (ii) delivery of the Escrow Funds Shares (as defined in Section 4 below), in accordance with Section 3 and Section 4 below, respectively, agrees to hold, invest hold and disburse the Escrow Funds Property in accordance with this Agreement.

The Investor(s) Issuer, each Equity Investor and the Company Administrative Agent hereby appoint Escrow Agent to serve as Escrow Agent escrow agent hereunder. Escrow Agent hereby accepts such appointment and, upon receipt by wire transfer deposit of the Escrow Funds Items in accordance with Section 3 below, agrees to hold, invest hold and disburse the Escrow Funds Items in accordance with this Escrow Agreement.

Escrow Agent hereby accepts such appointment and, upon receipt by wire transfer of the Escrow Funds in accordance with Section 3 below3, agrees to hold, invest and disburse the Escrow Funds in accordance with this Agreement.
